Assistant General CounselCorporate and Transactional

 

 

An hour north of Denver and ideally situated between Boulder, Fort Collins, and Greeley, JBS is the largest company headquartered in Colorado and one of the largest food companies in the world. We are seeking a motivated and proactive attorney to join our legal team, with a focus on corporate and transactional law and the talent and adaptability to handle a wide variety of complex legal matters.

 

The Assistant General Counsel will oversee and manage a broad range of legal functions, with oversight of securities and corporate governance, mergers and acquisitions, and commercial transactions. This is a dynamic role that requires both legal expertise and business acumen to drive our strategic objectives. You will solve complex problems and work closely with external counsel, providing business insight and strategic input while ensuring efficient utilization of external law firms. As an advisor to the business, you will stay apprised of all relevant developments in relevant laws, regulations, and trends, and will train relevant stakeholders accordingly. You will frequently collaborate with teams across the Company to support business goals and ensure compliance with legal requirements. Additionally, you will stretch your skillset by frequently assisting with the wide range of legal matters facing a complex global organization.

 

RESPONSIBILITIES:

  1. Securities
    • Advise on compliance with securities regulations
    • Assist in preparation and review of SEC filings, including annual reports, quarterly reports, proxy statements, and other required disclosures
    • Assist in the preparation and review of press releases, investor presentations, and other communications with investors, analysts, and internal partners
    • Provide legal support for securities offerings, including public offerings, private placements, and other financing transactions
    • Support the development and implementation of risk management strategies and policies
  2. Corporate Governance
    • Advise senior management and Board of Directors on corporate governance best practices and compliance with applicable laws and regulations
    • Assist in the preparation and management of Board and committee meetings, including drafting agendas, resolutions, and meeting minutes
    • Monitor and advise on developments in corporate governance, including changes in laws, regulations, and industry standards
    • Support the implementation of corporate policies and procedures related to governance, ethics, and compliance
  3. Mergers and Acquisitions
    • Assist with legal due diligence for M&A transactions, including risk assessment and compliance reviews
    • Draft, review, and negotiate M&A agreements and related documentation
    • Collaborate with cross-functional teams to facilitate seamless integration of acquired entities
  4. Commercial Transactions
    • Provide legal support for commercial transactions, including drafting and negotiating contracts
    • Advise on sales, distribution, procurement, and other business agreements
    • Ensure that commercial activities align with corporate policies and legal requirements
    • Oversee legal aspects of secured debt financing transactions
    • Draft and negotiate loan agreements, security documents, and related financial contracts
  5. Team Leadership and Development
    • Manage, mentor, and develop junior attorneys in the legal department
    • Assign and oversee work, providing guidance and feedback to ensure high-quality legal support
    • Foster a collaborative and inclusive team environment

QUALIFICATIONS:                                           

  • J.D. degree from an accredited U.S. law school with a strong academic record
  • Minimum 10 years experience
  • Combination of law firm and in-house/governmental agency experience preferred, food and agriculture experience a plus
  • Admission to a U.S. bar (Colorado preferred)
  • Demonstrated ability to efficiently manage and partner with outside counsel in litigation and investigatory matters
  • Excellent strategic and analytical skills, strong communication and presentation skills, and the ability to work well independently and on a team
  • Excellent judgment, particularly in determining the significance of legal matters in tandem with business objectives
  • Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at all levels throughout the Company
  • Excellent written and verbal communication skills, with the ability to tailor communications to the specific intended audience in a way that is clear, concise, and persuasive
  • Ability to embody and project both confidence and humility
  • As a salaried position with the company, you may be required to travel at some point to other facilities, to attend Company events, or as a representative of the Company in other situations. The applicant who fills this position will be eligible for the following compensation and benefits:

  • Benefits: Vision, Medical, and Dental coverage begin after 60 days of employment;
  • Paid Time Off: sick leave, vacation, and 6 company observed holidays;
  • 401(k): company match begins after the first year of service and follows the company vesting schedule;
  • Base salary range of $145,000 225,000 commensurate with experience; and
  • This position is eligible to participate in the Company’s annual bonus plan, the amount of bonus varies and is subject to the standard terms and conditions of the incentive program;

 

For individuals assigned and/or hired to work in Colorado, JBS and Pilgrim’s is required by law to include a reasonable estimate of the compensation for this role. This compensation range is specific to the State of Colorado and takes into account various factors that are considered in making compensation decisions, including but not limited to a candidate’s relevant experience, qualifications, skills, competencies, and proficiencies for the role.
