VIPRE Security Group (www.vipre.com), part of Ziff Davis (Nasdaq: ZD), is a leading provider of internet security solutions that protect businesses and home users from cyber threats. VIPRE is seeking to add a fully-remote or hybrid Corporate Counsel in the United Kingdom or European Union to its legal department for a fixed term role beginning September 2024 and ending July 2025. 
This role is an exciting opportunity to join an international in-house legal department and gain experience in a variety of different areas at a public company. The will primarily be responsible for managing commercial contracts and providing legal support to VIPRE in the UK and EU, but will also work with other attorneys supporting VIPRE and the Ziff Davis organization as a whole, including with regard to privacy, corporate governance and other matters depending on existing experience.
Job Duties:
  • Manage VIPRE’s commercial contracts in the UK and EU, including reviewing and negotiating customer, reseller, managed service provider and vendor contracts for VIPRE.
  • Develop and maintain strong relationships with VIPRE’s business and leadership teams, including sales, marketing, human resources and management, and provide day-to-day legal support as needed.
  • From time to time, and depending on prior experience, support Ziff Davis’s privacy and security counsel, outside counsel and DPO on UK/EU-related privacy issues.  
  • From time to time, and depending on prior experience, support Ziff Davis’s corporate governance specialist with corporate governance matters in the UK and EU for VIPRE and other UK/EU Ziff Davis business units, as needed (e.g., Companies House and Companies Registration Office filings).
  • From time to time, and depending on prior experience, support Ziff Davis’s Legal and Human Resources departments on employment-related matters in the UK and EU.
Job Requirements and Experience:
  • At least 2+ years’ experience as a corporate attorney at a top law firm and/or large public company and experience with negotiating commercial contracts. 
  • Experience working with software or SaaS companies that use a reseller/distributor sales model is a plus.
  • Experience with privacy laws and regulations in the UK or EU, and/or background with corporate governance and employment law, is a plus.
  • Excellent communication skills with the ability to convey legal advice clearly and effectively.
  • Excellent legal, business and practical judgment with strong analytical and problem-solving skills.
  • Excellent interpersonal skills and the ability to work effectively with employees at all levels.
  • Ability and openness to learn new things across multiple countries/regions.
  • Must be a graduate of an accredited law school and a member in good standing with their jurisdiction’s bar association (e.g., Bar Council).
