Description

We are currently seeking a full-time Transaction Services Associate to join our firm. You will work with our M&A team, providing transaction services to predominantly US-inbound international Businesses (primarily German/European) in the manufacturing and distribution sector, as well as a breadth of other industries. The ideal candidate has solid accounting knowledge, is eager to learn, can work under time pressure and handle concurrent projects, and shows strong verbal and written communication skills.

Responsibilities:

  • Participate in buy-side and sell-side transaction projects, providing financial due diligence assistance to European strategic and private equity investors
  • Communicate with and interview C-level executives of clients and target companies
  • Understand Target’s business and recognize key performance drivers, business trends, and emerging technical and industry developments
  • Analyze Target’s past, current and projected performances to understand Target’s profitability and value drivers and to identify non-recurring items and pro-forma adjustments needed to normalize the EBIT(DA) (Quality of Earnings)
  • Use judgment and accounting knowledge to determine working capital and net debt/ cash definition used in purchase price adjustment mechanisms
  • Write red-flag and detailed reports summarizing due diligence findings
  • Assist with post-due diligence advisory, including closing accounts and purchase agreement-related negotiations

Required Qualifications:

  • Bachelor's or Master’s degree in Accounting from an accredited college/university
  • Excellent professional writing skills (English).
  • Strong command of Microsoft Excel and PowerPoint

Preferred Qualifications:

  • 0-2 years of experience in a public accounting firm
  • Knowledge in Group Accounting and Business Combinations rules
  • German communication skills are a plus but are not required
  • Current or future plans to pursue CPA Exam is preferred
