The Opportunity
We are looking for a Corporate Administrator to join our Fiduciary Team as part of our financial services business in Amsterdam, the Netherlands.
 
 
As part of the global expansion of the Maples Group’s financial services offering, our Amsterdam office opened its doors in 2015. We have achieved good growth since with the Maples infrastructure and network supporting us to deliver the best-in-class solutions to clients worldwide alongside our colleagues in legal services.
 
Key duties: 
  • Assisting with the corporate administration (incorporation/liquidation/day to day management) of a rapidly expanding portfolio of client companies in Real Estate under the supervision and with the guidance of the Senior Vice President;
  • Ensuring that for the assigned portfolio of all client companies legal and tax requirements are met during the whole client company's life cycle (approvals and signing, filings, publications, etc.);
  • Assisting with managing day-to-day queries from the portfolio and liaising with external parties (banks, lawyers, tax advisors, auditors, investment fund managers, arrangers, notaries…) as needed;
  • Assisting with the completion of the KYC file for approval of the compliance department;
  • Ensuring that clients and the related transactions are approved by the Business Acceptance Committee (the “BAC”) & assisting in the preparation of the relevant documents and forms;
  • Setting up the files, inventories and assisting in the retrieval of the documentation for the compliance files;
  • Ensuring the appropriate maintenance and updating of any MFND internal database by maintaining the integrity of the information held on the Maples IT Systems;
  • Assisting in the invoicing of client companies (including any work-in-progress) and ensuring that receivables are collected in a timely manner and participate actively in the annual billing exercise;
  • Assisting with the scheduling of the board meetings dates with the relevant clients and circulating the convening notices together with the drafted minutes to the relevant parties; 
  • Assisting with the provision of any evidencing/supporting documents needed to complete and finalize the accounts of his/her portfolio of companies and where applicable providing assistance in answering non-accounting queries and gathering legal documents required for audit purposes;
  • Any other ad-hoc duties.
 
 
Requirements: 
In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following: 
  • Master’s degree in law;
  • 1-1,5 years of relevant work experience gained preferably in financial services & ideally in funds clients area;
  • Knowledge of & interest in corporate governance, relevant Dutch laws, including but not limited to the Dutch civil code and the Dutch AML legislation and regulatory requirements;
  • Knowledge of Microsoft Word, Excel;
  • Fluent in English;
  • Keen to grow & be challenged;
  • Have excellent communication skills, both written and oral;
  • Ability to deal with different people at different levels;
  • Must be a strong team player with excellent interpersonal skills;
  • Excellent time management, organizational and prioritisation skills.
