Position Summary:
The Senior Manager - SEC Reporting and Technical Accounting is a dual-focus role that (1) leads the preparation and filing of all external financial reports in compliance with U.S. Securities and Exchange Commission (SEC) requirements and (2) serves as the subject matter expert on complex accounting issues, ensuring compliance with U.S. GAAP and supporting strategic transactions. This role ensures timely and accurate reporting, supports investor relations, and partners with internal teams to maintain strong financial governance. This role also provides guidance on technical matters, leads implementation of new accounting standards, and partners with cross-functional teams to maintain accurate financial reporting.
Responsibilities:
- Prepare and maintain the quarterly SEC and other third party reporting calendar.
- Oversee preparation and review of Form 10-K, 10-Q, 8-K, and other SEC filings.
- Prepare quarterly and annual stand-alone subsidiary financial statements for compliance with debt requirements.
- Ensure compliance with US GAAP, SEC regulations, and SOX requirements.
- Manage XBRL tagging with third party for all SEC filings.
- Drive process improvements for reporting efficiency and accuracy.
- Collaborate with Legal, Investor Relations, and FP&A teams on disclosures.
- Support quarterly earnings release and related investor materials.
- Support other external communications that include financial information.
- Support ESG and sustainability reporting and lead the preparation of ESG disclosures across corporate filings (e.g., annual report/10-K sections, 8-K as needed); partner with Legal and Investor Relations on narrative consistency, risk factors, forward-looking statements, and assurance readiness; manage external assurance providers (limited or reasonable assurance) once this becomes applicable.
- Research, conclude, and document complex accounting topics (e.g., revenue recognition, leases, stock-based compensation, equity instruments, debt instruments, derivatives/hedging, and asset impairments).
- Draft and maintain technical accounting memos, position papers, and accounting policies; transition such accounting to the relevant accounting team members for day-to-day administration; present conclusions to senior leadership and auditors.
- Monitor and interpret new standards and interpretations (e.g., FASB updates, SEC guidance, etc.); lead cross-functional adoption of new standards, change management, and training.
- Collaborate with Business Development/Growth, FP&A, Tax, and Legal on accounting implications of strategic initiatives.
- Provide training and guidance to accounting team and other departments on technical topics.
- Research and resolve ad hoc technical and accounting policy inquiries from the accounting team and other departments as they arise.
- Support internal and external audits.
- Assist with internal controls and SOX compliance. Continuously evaluate SEC reporting and technical accounting processes, controls, and systems to identify areas for improvement and implement enhancements to mitigate risks and streamline operations while ensuring compliance with the Company’s internal controls over financial reporting.
- Lead and mentor reporting and technical accounting professionals.
- Support ongoing implementation and testing efforts related to financial systems.
- Ad hoc reporting and special projects as required.
Qualifications:
- Typically requires a minimum of 8 years of related experience with a Bachelor’s degree; or 6 years and a Master’s degree; or a PhD with 3 year's experience; or equivalent experience. Some barriers to entry exist at this level, requiring department review.
Desired Skills:
- Certification of Public Accountancy (CPA) designation required.
- Big 4 public accounting experience highly preferred
- 8+ years of progressive accounting experience, including SEC reporting.
- 4+ years of experience leading team members, with a strong commitment to training and mentorship
- Strong knowledge of US GAAP, SEC rules, and SOX compliance.
- Experience with public company filings and XBRL.
- Experience with complex transactions (e.g., revenue, leases, debt, equity, derivatives, etc.) and public company environment.
- Excellent research and analytical skills and critical thinking.
- Excellent communication skills (written, oral, and presentation) with the ability to translate complex topics into clear guidance for executives and cross-functional teams.
- Expert level proficiency in Excel and SEC reporting tools (Toppan Merrill Bridge preferred).
- Excellent project management skills and collaborative partner management.
- Strong attention to detail and accuracy; highly resourceful and displaying a "roll-up your sleeves" positive attitude.
- Deadline oriented and excellent time management skills to keep up with a fast-paced environment.
- Experience with Oracle NetSuite and Salesforce is a plus.
For job positions in CA, CO, and NYC, the estimated salary range for a new hire in this position is $155,000.00 USD to $173,000.00 USD. Actual salary may vary depending on job-related factors, including knowledge, skills, experience, and location. In addition to a competitive base salary, discretionary target cash bonus, and restricted stock units (subject to Board Approval).
