Position: Procurement Contracts Specialist (PCS)  

Location:Sourcing Department—Supply Chain—World Headquarters -Easton, PA  

Reports To: Director, Global Sourcing   

   

Job Overview:  

As a Procurement Contracts Specialist, you will play a crucial role in managing and negotiating contracts with suppliers to secure favorable terms and conditions for the organization. You will collaborate with various departments to understand their procurement needs and facilitate the creation of contracts that meet legal and operational requirements.

Responsibilities:  

  • Review and critique contractual documents, including Non-Disclosure Agreements, Direct Materials Purchase Agreements and Indirect Material/Services Agreements.
  • Assist with complex contract and supplier issues during all phases of the contract, embracing ingenuity and an innovative mindset.
  • Provide direction and contracting expertise to execute creative business solutions in accordance with Victaulic policies and procedures.
  • Ability to work with multi-disciplined and internal teams and collaborate with a positive attitude.
  • Strong communication and presentation skills.
  • Create and implement legal documents as needed to support future business needs.
  • Provide leadership and administration for the Contract Lifecycle Management (CLM) on behalf of the Sourcing team.

Contract Management:  

  • New/Expiring Contracts
    • PCS to take incoming requests from the Sourcing team, including Victaulic and 3rd party paper requests.
    • PCS to work with the Sourcing team to understand the unique requirements of the document/business relationship and provide feedback, solutions and/or documentation as required.
    • PCS to work with the Sourcing team to understand renewal/cancellation needs.
    • PCS to collaborate with the Legal team as necessary to ensure compliance with Victaulic policies and procedures.
    • PCS to update Victaulic system with documents upon execution.
  • General Contracting
    • Coordinate with Sourcing & Legal to develop new/adjusted templates to meet business needs.  Create training materials and sessions for risk spotting, risk management, and general contracting best practices.
    • Review current documents to compliance with Victaulic policies, procedures and best practices, recommending amendments as necessary.
    • Liaison between Sourcing and Third Party Counsel to support various global contracting needs.
    • Provide reporting and follow up on existing renewal and contracting needs.

Qualifications  

  • Bachelor’s Degree and/or ABA Approved Paralegal program graduate.
  • 5+ years’ experience drafting, negotiating, and executing complex contracts, including commercial and legal terms for industrial market settings.
  • Experience with international workforce and suppliers
