Job Summary:
 
The Director of Contracts is responsible for overseeing all aspects of contract management within our dynamic cybersecurity organization. This includes drafting, negotiating, and executing contracts, as well as ensuring compliance with legal requirements and company policies. The Director of Contracts will work closely with various departments to support their contract needs, manage vendor relationships and to achieve company and customer objectives.
 
This person will be required to go into our HQ 1-2 times a week. 
 
Job Responsibilities:
 
Contract Management:
  • Draft and negotiate a variety of commercial transactions, including SaaS customer agreements, distribution/reseller agreements, marketing and vendor agreements, NDAs, DPAs, Government agreements, GSA schedules, and other related agreements.
  • Assist with developing and maintaining contracts-related processes and procedures to scale with company’s growth, such as developing and maintaining playbook, standard forms, contract repository, etc.
  • Operate as subject matter expert in all aspects of contracts and engage, partner with sales, sales operations, finance, security, customer success, marketing, and other functions to ensure efficient and effective legal support for commercial transactions.
Compliance and Risk Management:
  • Ensure compliance with legal and regulatory requirements, as well as company policies and procedures.
  • Identify and mitigate contractual risks, including legal, financial, and operational risks.
  • Develop and implement contract management best practices to minimize risk and optimize contract performance.
Vendor Management:
  • Manage relationships with external vendors and service providers, including contract negotiations, performance evaluations, and renewals.
  • Monitor vendor compliance with contractual obligations and service level agreements.
  • Identify opportunities to streamline vendor relationships and optimize costs.
Continuous Improvement:
  • Continuously evaluate and improve contract management processes and tools to enhance efficiency and effectiveness.
  • Stay abreast of industry trends, regulatory changes, applicable government regulations, and best practices in contract management.
  • Lead or participate in cross-functional initiatives to drive organizational improvements related to contract management.
Qualifications:
  • Minimum of 8 years of hands-on experience in drafting and negotiating software license and SaaS agreements.
  • Leadership in contract management, including overseeing large, complex proposals and negotiations.
  • Experience in-house at a technology company strongly preferred.
  • Experience relating to cloud/SaaS specific issues, privacy, security strongly preferred.
  • Skilled negotiator, able to effectively navigate issues externally and internally, including across departments, with strong interpersonal skills.
  • Detail-oriented with strong analytical and problem-solving abilities. Relevant certifications (e.g., Certified Commercial Contracts Manager, Certified Professional Contracts Manager) a plus.

Salary:
The annual starting salary for this position is between 145k-165K + Annually variable commission depending on experience and other qualifications of the successful candidate.
