About You and this Role

This full-time position is designed to support Liferay’s growing business operations in the North America region. The nature of the position requires close interaction and cooperation with Liferay’s Sales, Partner Ecosystem and Global Services teams, specifically, and providing strategic legal advice to various other business unit leaders, regional management and other internal stakeholders, in particular complex procurement matters. This position is part of Liferay’s Commercial Legal team. The focus will be on Liferay’s North America business, in particular the United States and Canada, but may also include support for other territories depending on demand, interest and skills.
 
In order to facilitate collaboration and some periodic in-person training, collaboration and team-building, the preferred location for this position would be in the Eastern Time Zone.



Primary Duties
  • Structuring, reviewing, revising and negotiating both strategic framework agreements and transactional documents with customer prospects for Liferay’s various commercial offerings;
  • Structuring, reviewing, revising and negotiating NDAs, subcontracting, partner agreements;
  • Provide legal advice and support on all aspects of procurement, including contract negotiation, drafting, compliance, data protection, and risk management.
  • Collaborate with the procurement team to structure and execute strategic sourcing initiatives in a legally compliant manner.
  • Review, draft, and negotiate a wide variety of vendor agreements (e.g., vendor contracts, DPAs, technology licenses, supply agreements, service agreements, etc.).
  • Collaborate with the procurement team to structure and execute strategic sourcing initiatives in a legally compliant manner.
  • Providing (first) point of contact support for non-revenue contract related legal issues (e. g. employment agreements, leasing and purchasing agreements etc.);
  • Supporting North America Marketing team in development of marketing events and activities and (in liaison with other subject matter experts in Legal Department) on matters of data protection and competition law;
  • Identifying legal and operational risks and advising the business on options and consequences; and
  • Monitor regulatory changes and industry trends affecting procurement practices, go-to-market practices and provide proactive legal updates to internal business leaders.

 

Secondary Duties
  • Participating in and supporting overall corporate compliance and governance;
  • Advising the business and general operations in a variety of areas (commercial, competition, corporate, IT, communications, IP, data protection, etc.), summarizing and communicating concepts that business can use;
  • Supporting the continuous improvement of standard form agreements, playbooks, contract templates, and legal processes;
  • Assisting in the development and  improvement of contractual frameworks for new and existing distribution models;
  • Conducting legal research and monitoring regulatory changes and relevant industry trends;
  • Assisting in the establishment, roll-out and training of company-wide policies with respect to programs, compliance, privacy, corporate, employment, security and intellectual property matters; and
  • Monitoring company operations and policies and product portfolio knowledge and serving as a liaison between corporate-level developments and North America go-to-market team members.



Minimum Qualifications 
  • Work experience and strong understanding of common software development and business models in Liferay’s industry;
  • Juris Doctor (J.D.) degree or equivalent degree from an accredited law school.
  • Licensed to practice law in the U.S. or Canada.
  • Minimum 3-5 years of relevant legal experience.
  • Strong oral and written negotiation skills
  • Keen contract review, drafting, and analytical skills.
  • Excellent interpersonal and communication abilities, with the capacity to explain legal concepts to non-legal audiences.
  • Experience supporting cross-functional teams and managing multiple complex projects under tight deadlines.

 

Preferred Qualifications
  • Understanding of data protection and privacy laws and regulations, including GDPR.
  • Understanding of industry-standard information security and operational security practices.
  • Familiarity with vendor management and contract lifecycle management platforms.
  • Willingness to step-in and help with a “Start-up” and “can do” attitude.
