Associate General Counsel, Commercial Contracts
Description
- Draft, review and negotiate contracts related to AI/ML technology or initiatives and a variety of other commercial contracts, including non-disclosure agreements, technology and software licenses, master service agreements, SOWs, SaaS agreements and professional services agreements
- Contribute to the negotiation of agreements with vendors and suppliers to achieve the optimal combination of service, cost, quality and risk mitigation
- Manage the standard procurement agreement process, from intake and drafting through negotiation and execution
- Collaborate with multi-functional teams to evaluate and mitigate legal risks relating to AI/ML use and initiatives
- Monitor and analyze AI/ML legislation, regulations and case law and implement corrective, remedial and preventive actions when necessary
- Special projects on an as-needed basis
- Juris Doctorate degree from an accredited law school, required
- At least 5 years law firm or a combination of law firm and in-house hands-on experience drafting and negotiating contracts, including non-disclosure agreements, technology and software licenses, master service agreements, SOWs, SaaS agreements, professional services agreements and a wide array of other vendor agreements
- Experience effectively handling a high volume of contracts
- General understanding of data privacy and protection laws
- Familiarity with AI/ML issues a plus
- Excellent verbal and written communication, negotiation and presentation skills with the ability to effectively interact with legal and non-legal team members
- Detail-oriented with strong organizational skills
- Aptitude to quickly learn and develop new skills
- Independent and innovative thinker with excellent analytical and reasoning skills and judgment
- Ability to juggle multiple clients and projects simultaneously with competing demands
- Strong work ethic with excellent follow up skills and a proactive mindset
- A self-starter with an ability to work independently and as part of a team
- Licensed to practice law in Virginia or eligible to be admitted under a Virginia Corporate Counsel Certificate
