Legal Counsel (Corporate & Commercial)

About the Role:
We are looking for a Legal Counsel to handle corporate & commercial legal issues in an international software business setting with operations in Europe, USA and Latin America. The position will report to the General Counsel (Head of Legal).
The Quest:
- Prepare, negotiate and review a wide variety of commercial contracts, including software development agreements, software products licensing, distribution and publishing agreements, master services agreements, statements of work, partner agreements, contractor and subcontractor agreements, NDAs, term sheets, supplier/vendor agreements, data processing agreements
- Manage corporate governance, including by preparing board & shareholders resolutions and dealing with registration procedures and shareholding structures
- Manage contract administration by maintaining and updating contract database and provide information and advice to internal stakeholders when needed
- Handle various business transactions, including joint ventures, partnerships, inter-company arrangements, strategic alliances
- Assist with protection of IP rights, including trademark portfolio, trademark prosecution, copyright, know-how, cease and desist letters
- Develop and maintain subject matter expertise in privacy, data use and protection laws, and advise on and handle data privacy law matters, including with regard to GDPR, DPAs
- Handle employment law matters, including employment agreements, disciplinary procedures and measures, termination of employment procedures
- Provide support in the development of regulatory strategy, handle regulatory matters and develop compliance policies and procedures. Research/analyze industry-specific regulations to assess impact on business and assist in preparation and implementation of compliance measures
- Provide cross-functional legal support to the various departments and teams in the company
- Support the management and operations teams with ongoing and special initiatives, and generally report to and support the General Counsel function
The Skills:
- Bachelor of Laws (LL.B.) / Juris Doctor (J.D.) from a top law school (international education and/or postgraduate academic degree a plus)
- Admitted to practice law in Bucharest, Romania (Bucharest Bar)
- A minimum of 5 years experience, preferably with a mix of both law firm corporate department and IT company legal department, with a focus on:
- drafting, negotiating, reviewing, closing, following a variety of commercial contracts, including services agreements, partner and vendor agreements, in an IT company environment
- preparing, reviewing and negotiating a wide variety of contractual documents, including term sheets/HOT, LOI, MOU, NDA, MSA, SOW, T&C, DPA, etc.
- handling corporate governance issues, including preparing board and shareholders resolutions and other regular corporate documents, and dealing with shareholding structures and corporate organizational and administrative issues
- handling IP related issues and technology transactions, including software licensing and distribution agreements
- advising on employment law matters
- maintaining a reasonable expertise in privacy law, including familiarity with GDPR and data processing agreements
- dealing with cross-border business transactions and international law aspects, including partnerships, M&A deals, strategic alliances, joint ventures
- doing legal research in various legal areas and preparing and updating company's policies and procedures from a regulatory & compliance perspective
- working as part of a team, liaising with different stakeholders, providing cross-functional advice to different departments and teams, and reporting to head of department
