Position Overview 
We are seeking a Corporate Counsel to join Zones' legal team. This role is focused on reviewing, drafting, and negotiating a wide range of customer, vendor, and partner agreements to support the company’s core sales and procurement functions. While the primary responsibility will be contract negotiation, there may also be occasional involvement in corporate governance and compliance matters. The successful candidate will work closely with other members of the legal team, business stakeholders, and leadership to protect the company’s interests while enabling business growth, ensuring compliance, and managing legal risk.
 
What You’ll Do as a Corporate Counsel: 
    • Lead the negotiation, drafting, and review of customer, vendor, reseller, and partner contracts, with a strong focus on technology and IT solutions.
    • Represent the company in negotiations with enterprise, public sector, and private sector clients to secure favorable and compliant terms.
    • Work collaboratively as part of the legal team to provide timely, business-focused legal advice across departments.
    • Advise sales, procurement, and business teams on contract strategy, risk mitigation, and compliance requirements.
    • Interpret contract commitments and terms to ensure alignment with company policies, industry standards, and applicable regulations.
    • Provide clear, practical legal guidance to business stakeholders to facilitate deal closure while managing risk.
    • Maintain accurate records of negotiations, agreements, and legal approvals.
    • Assist in the development of contract templates, playbooks, and process improvements to support efficient deal execution.
    • Build strong relationships across internal teams and serve as a trusted legal advisor to business leaders.
    • Support limited corporate governance and compliance activities (such as subsidiary filings, regulatory submissions, or board-related documentation) when needed
What you bring to the team: 
    • Licensed attorney in Pakistan with an LL.B. or equivalent law degree from a recognized institution.
    • 2+ years of post-qualification experience with a strong focus on contract drafting and negotiation.
    • Prior in-house counsel or law firm experience advising IT, technology, or multinational companies preferred.
    • Experience negotiating IT-related agreements—including Products, Software, SaaS, and Managed Services—preferred.
    • Experience negotiating contracts with or on behalf of U.S.-based entities strongly preferred.
    • Familiarity with corporate governance and compliance requirements in Pakistan a plus, though not the primary focus of the role.
    • Solid knowledge of contract law, commercial transactions, and regulatory compliance in Pakistan.
    • Strong negotiation, communication, and problem-solving skills, with the ability to collaborate effectively with legal team members and cross-functional stakeholders.
    • Proven ability to manage multiple, complex negotiations simultaneously in a fast-paced environment.
    • Business-oriented mindset with the judgment to balance risk management and deal enablement.
