General Summary:

The ideal candidate has both law firm and in-house experience.  Over time, the candidate will be exposed to a wide range of substantive areas of corporate law and will support WW’s efforts in the areas of Finance, Credit and all matters relating to Board of Directors, corporate reporting, corporate governance, and Mergers & Acquisitions.  The candidate should be smart and intellectually curious and must have good judgment. We are looking for someone who can:

  • Support the legal team on corporate and compliance matters, including D&O Questionnaires and annual meeting and other shareholder activities;  
  • Interact with members of the Board of Directors, senior executives and the corporate and finance teams on corporate and compliance matters; 
  • Handle general corporate subsidiary management (appointments and resignations of directors and officers, annual statutory filings, filing of certificates of incorporation/formation, qualifications, preparation of bylaws and organizational consents);
  • Maintain director and officer charts, minute books and corporate records and develop repository of local jurisdictional requirements;
  • Assist in the preparation of materials for Board meetings (drafting Board consents, resolutions, and agendas) and manage the postings to the electronic board portal;
  • Assist in corporate transactional matters (maintain and manage due diligence materials, prepare transactional closing documentation and review schedules to agreements);
  • Assist with SEC and stock exchange filings, including Section 16 and Form 8-K filings; 
  • Process subpoenas and record requests; and
  • Help to review and update content and legal policies for corporate governance compliance.

It is understood that a great candidate may not have experience in all the areas outlined above but should be willing and excited to learn.

We’re looking for someone with:  

  • Bachelor's Degree or equivalent 
  • At least 5 years of corporate and compliance experience (in-house preferred)
  • Strong attention to detail and comfort with numbers
  • Ability to research, read and understand basic rules and regulations
  • Ability to recognize issues that are atypical or problematic and should be referred to an attorney for review
  • Strong analytical, interpersonal, and communications skills (both verbal and written)
  • Ability to handle confidential information with discretion
  • Ability to work independently, while performing as a team player
  • Ability to manage projects and handle multiple competing priorities and accomplish objectives in a timely manner under firm deadlines
  • Proficiency in Google Suite, Microsoft Office, Adobe Acrobat, and Delta View
