Who We Are Looking For
We are looking for a detail-oriented individual to join our team in the USANA India market as a company secretary. In this role, you will be responsible for ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented. Additionally, the Company Secretary will be responsible for organizing and preparing agendas for board meetings, annual general meetings, and other meetings, as well as taking minutes of meetings and maintaining statutory books.
What You Will Do as USANA’s Company Secretary
  • Organizing and preparing agendas for board meetings, committee meetings, and annual general meetings (AGMs).
  • Taking minutes, drafting resolutions, and maintaining records of board meetings and AGMs.
  • Advising the board of directors on corporate governance matters and ensuring compliance with applicable laws and regulations.
  • Managing communication between the board of directors, management, and shareholders.
  • Ensuring that the company complies with all statutory and regulatory requirements, including filing of necessary documents and returns with regulatory authorities such as the Registrar of Companies (ROC), Securities and Exchange Board of India (SEBI), and Stock Exchanges.
  • Managing the company's share capital, including issuance of shares, transfer of shares, and maintenance of share registers.
  • Providing guidance and support to the board of directors on matters such as directors' duties and responsibilities, corporate restructuring, and corporate governance best practices.
  • Keeping abreast of changes in corporate laws and regulations and advising the board and management on the implications of such changes.
  • Coordinating with external legal counsel, auditors, and regulatory authorities as required.
  • Assisting with financial reporting, budgeting, forecasting, tax compliance, and financial analysis as and when required.
  • Perform other duties or ad hoc projects as assigned or needed.
Background and Skills You Will Need   
  • Qualified Company Secretary (C.S.) with membership of the Institute of Company Secretaries of India (ICSI).
  • Ability to communicate in written and spoken English.
  • Minimum 3 years of experience working as a Company Secretary in listed or unlisted public company.
  • Multinational company experience is preferred, direct selling industry experience is an added advantage.
  • In-depth knowledge of company law, corporate governance, and securities regulations.
  • Strong communication and interpersonal skills, with the ability to interact effectively with senior management, board members, and external stakeholders.
  • Excellent organizational and time-management skills, with the ability to manage multiple tasks and deadlines effectively.
  • High level of integrity and professionalism, with the ability to handle confidential information with discretion.
  • Proficiency in MS Office applications and company secretarial software.
  • Experience working with board committees, such as audit committee, nomination and remuneration committee, etc., will be an added advantage.
  • Must be detail-oriented and results-oriented, have an ability to work autonomously, set and achieve aggressive goals and deadlines.
