The Senior Paralegal is a highly skilled legal professional responsible for providing comprehensive support to the Legal Department across a broad range of corporate, commercial, employment, compliance, intellectual property, and litigation matters. This role serves as a trusted partner to internal stakeholders, manages legal processes and documentation, and helps ensure the company operates in compliance with applicable laws, regulations, and corporate policies.
The ideal candidate is detail-oriented, proactive, organized, and capable of independently managing multiple priorities in a fast-paced retail environment.
What You’ll Do:
Corporate Governance & Legal Operations
- Maintain corporate records, entity management documentation, and organizational filings.
- Assist with board and committee materials, corporate resolutions, and governance-related documentation.
- Maintain oversight of Board of Directors portal including finalization and upload of Board meeting agendas, materials, minutes, organize folders, and keep the site updated, etc.
- Prepare annual proxy calendar and drafts of annual proxy reports.
- SEC compliance support such as assisting with periodic filings (10-K, 10-Q, 8-K), Section 16 filings and monitoring, insider trading policy administration and approvals, and quiet period tracking.
- Review and processing of legal invoices.
- Manage legal department records, contract repositories, and document retention processes.
- Develop and maintain legal templates, policies, and procedures.
Employment & Compliance Support
- Support employment-related matters, including investigations, demand letters, separation agreements, and policy updates.
- Respond to regulatory agencies as advised by counsel.
- Assist with compliance initiatives related to labor and employment laws, privacy regulations, consumer protection requirements, and retail operations.
- Monitor legal and regulatory developments impacting the business.
- Support internal audits and compliance assessments.
Litigation & Risk Management
- Managing the discovery process end-to-end (including e-discovery vendors and platforms) in coordination with inside and outside counsel, coordinating document collection and review with custodians, preparing privilege logs, and managing discovery deadlines and production schedules.
- Coordinate responses to subpoenas, legal notices and information requests.
- Manage litigation holds/releases and document collection efforts.
- Serve as a liaison with outside counsel and internal business partners.
- Track litigation matters, deadlines, budgets, and outcomes.
- Assist with insurance claims and risk management activities.
Commercial Contracts
- Draft, review, revise, and administer a wide variety of commercial agreements, including:
- Vendor agreements
- Marketing and advertising agreements
- Technology and software contracts
- Confidentiality agreements (NDAs)
- Consulting and professional services agreements
- Licensing and partnership agreements
- Track contract status, renewal dates, and obligations.
- Collaborate with business partners to facilitate efficient contract review and execution.
Intellectual Property
- Support trademark, copyright, and brand protection activities.
- Coordinate trademark filings, renewals, and monitoring activities with outside counsel.
- Assist with intellectual property enforcement matters and infringement investigations.
Cross-Functional Partnership
- Partner with Company departments such as Human Resources, Finance, IT, Marketing, Merchandising, Operations and DC teams to provide practical legal support.
- Help identify legal risks and recommend solutions that support business objectives.
- Participate in special projects and strategic initiatives as needed.
What You’ll Need:
- Bachelor's degree or Paralegal Certificate from an accredited program required.
- 8+ years of paralegal experience, preferably in-house or supporting a corporate legal department.
- Experience supporting corporate governance, employment law, commercial contracts and litigation matters.
- Strong knowledge of legal terminology, contract administration, and legal processes.
- Exceptional organizational and project management skills.
- Ability to manage confidential information with discretion and professionalism.
- Excellent written and verbal communication skills.
- Strong analytical, problem-solving, and critical-thinking abilities.
- Advanced proficiency in Microsoft Office Suite and legal matter management systems.
- Must be available to work primarily on Pacific Time business hours to meet the needs of the business.
Preferred Qualifications
- Retail, apparel, consumer products, or e-commerce industry experience.
- Experience supporting publicly traded companies.
- Familiarity with privacy regulations, intellectual property matters, and employment law.
- Experience with contract lifecycle management (CLM) systems and e-signature platforms.

Salary range: $100,000 - $120,000
