About the Role: 

Sitecore is proud to have one of the most innovative legal departments in the industry and is looking for an exceptional individual to head its Global Corporate Counsel, M&A department, supporting the company’s rapid growth. This position reports directly into the VP, Corporate Legal. You will play a key role in realizing the company’s ambitious goals by overseeing corporate, M&A, and other corporate development activities, the due diligence process, negotiation of term sheets and definitive transaction agreements as well as M&A playbooks and related support projects. As we expand our product and service portfolio, your ideas and contributions will make an immediate impact on our overall strategy. A creative legal mind, strong attention to detail, and a sense of adventure are all qualities we seek in the ideal candidate.

What You’ll Do: 

  • Assist with mergers & acquisitions related activities, investments, and other strategic transactions on a global scale and in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, supporting closing transactions to post-closing integration
  • Manage a highly motivated team of experts as well as orchestrate outside legal support and have budget responsibility
  • Draft and assist with the preparation of M&A related board and committee meeting materials
  • Assist with other special corporate projects, managing our efforts and advise the teams on processes and policies with respect to Sitecore’s innovative projects
  • Find innovative solutions to structure and develop these projects within the group (corporate, capital, contractual structure, etc.)
  • Work closely with our internal business, as well as with external advisors and experts
  • Lead legal projects effectively, with a team-oriented approach

What You Need to Succeed 

  • 3+ years of relevant corporate and leadership experience at a major law firm and/or inhouse - combination of both in-house and law firm practice experience is preferred, primarily in M&A, IT, venture capital or investment transactions 
  • Great curiosity and an ability to innovate
  • Excellent negotiation and drafting skills
  • Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions or projects
  • Membership in at least one state bar or equivalent
  • Superior interpersonal as well as managerial skills and a team-first attitude
  • Strong decision-making and leadership abilities, attention to detail, and ability to give executive-level guidance in a timely manner

Additional Skills That Could Set You Apart: 

  • Interest in Intellectual Property (IP) and the legal framework covering Sitecore's IP portfolio
  • Experience working with subsidiary governance (establishment of entities, closing entities, general governance)
