About the Role:
As Corporate Counsel, based in London, reporting to the VP Corporate Legal, you will play a key role in building and driving a broad range of corporate legal matters across Sitecore’s global business, that enable Sitecore to grow as a global SaaS company in an AI-defined era. The role will span subsidiary governance, corporate transactions, governance processes, corporate records, real estate matters, IP portfolio coordination and complex cross-functional legal initiatives.
You will work closely with the Corporate Legal team and business stakeholders across Finance, Tax, People, Procurement, Treasury and Global Workplace, as well as external counsel and corporate service providers across multiple jurisdictions. You will be expected to lead execution, bring structure to complex workstreams and deliver practical, business-oriented legal advice in a fast-paced global environment.
The ideal candidate will have strong legal judgment, excellent drafting and communication skills, and the ability to manage multiple priorities independently. You should be comfortable operating with senior stakeholders, coordinating external advisors, and working collaboratively as part of a practical, service-minded and high-performing legal team.
What You'll Do:
- Improve global subsidiary governance across Sitecore’s international portfolio of 35+ entities, including statutory filings, accounts approvals, AGMs, board and shareholder resolutions, director changes, corporate records and related filings as well as compliance matters and requirements
- Prepare, review and own corporate legal documents, including powers of attorney, share transfer agreements, intercompany agreements, governance documentation and legal memoranda
- Manage coordination with external corporate service providers, local counsel and internal stakeholders on entity formations, restructurings, mergers, wind-downs, trade license renewals and other corporate maintenance matters
- Lead and independently manage M&A and other corporate transaction workstreams, including diligence, structuring support, NDAs, engagement letters, signing and closing deliverables, corporate approvals and post-closing integration matters, while effectively coordinating and driving external counsel and other advisors
- Drive complex cross-functional legal initiatives involving Finance, Tax, Treasury, People, Procurement, Global Workplace and other business teams, ensuring clear ownership, timely execution and practical legal support
- Advise on real estate and workplace-related matters, including leases, amendments and related documentation, to support sound workplace decisions across the global footprint, working closely with the People and Global Workplace teams
- Manage Legal budget, vendor and outside counsel management, including tracking spend, maintaining budget materials and partnering with Procurement, AP, Accounting and FP&A as needed
- Manage intellectual property portfolio management, including coordination of trademark, patent, copyright and domain name matters with external counsel and internal stakeholders

- Identify opportunities to simplify, automate and improve recurring legal processes, including through AI-enabled tools and practical workflow improvements
- Oversee the development and maintenance of internal tracking tools, policies, frameworks and metrics to capture Corporate Legal workstreams, deliverables and progress against priorities, improving visibility, accountability and reporting across the function
What You Need to Succeed:
- A minimum of 8 years of relevant law firm and/or in-house experience in corporate law, including M&A, corporate transactions and multinational governance matters
- Ability to independently manage complex legal workstreams, drive execution and balance competing priorities in a fast-paced, global environment
- Experience working cross-functionally with Finance, Tax, Treasury, People, Procurement and other business teams
- Experience managing intellectual property portfolio coordination and commercial real estate / workplace-related legal matters
- Experience managing external counsel, advisors and corporate service providers across multiple jurisdictions
- Strong legal judgment, business acumen, analytical skills and excellent drafting and communication skills
- Strong AI mindset and practical experience using AI-enabled tools to improve legal workflows, automate recurring processes and scale legal support across the business
- Comfort working with senior management and handling sensitive, business-critical matters with professionalism and discretion
- Practical, collaborative and service-oriented mindset, with strong attention to detail and a proactive, solutions-focused approach
- Interest in legal operations, process improvement and leveraging technology / AI-enabled tools to scale legal support
