Company Secretary/Paralegal

  • Perform the Company Secretary role of Silicon Labs in India
  • Draft resolutions, minutes of Board meeting, general meetings, notices and other routine Company Secretarial documents
  • Ensure all decisions of the Board are accurately and appropriately recorded in the minutes of the meetings
  • Provide accurate and relevant information to Directors and Board committees
  • Maintain the Board calendar
  • Preparation of annual filing documents
  • Maintain and manage company records/documents in our HCue database
  • Review and process purchasing agreement matters for the Hyderabad office
  • Provide support in terms of reviewing, negotiating and finalizing procurement, vendor and client contracts such as Master Consulting Agreements, Sub-contracting Agreements, Master Service Agreements, Non-Disclosure Agreements, Master Lease/Rental Agreements and such other documents
  • Work with Legal Department attorneys, paralegals and outside counsel on various matters
  • Membership in Institute of Company Secretaries of India
  • Corporate Secretary experience
  • Paralegal education (or equivalent) plus experience in a corporate legal department
  • Experience in a corporate purchasing/procurement role is a plus
  • Advanced business software skills in Microsoft Office, PowerPoint, Word, Excel, Adobe Pro, Outlook, and Teams along with internet navigation and research
  • Workday, HCue and Salesforce experience is a plus
  • Strong writing and verbal communication skills
  • Personal accountability for the work and work product
  • Proven ability to handle confidential information with discretion
  • Excellent written and spoken English essential
  • Ability to communicate clearly and consistently via digital collaboration and video tools, especially with executives and international team members.
