POSITION OVERVIEW
As a Tax Manager in our growing Transaction Advisory Services practice, you will work closely with our clients and our team of M&A professionals to provide strategic advice throughout the M&A lifecycle. Your expertise in tax due diligence, tax structuring, and tax consulting will be instrumental in helping our clients minimize tax risks and maximize deal value.
What will you do in this role?
This position will be an important part of a growing and sophisticated team, and will have responsibility for overseeing and executing many aspects of the tax due diligence process including:
- Leading the execution of buy-side and sell-side tax due diligence engagements, including: identifying historical tax risks, providing high-level exposure estimates, and identifying mitigation and/or remediation techniques for identified risks
- Developing tax structuring solutions for clients undertaking mergers, acquisitions, or divestitures
- Providing advice to clients on tax implications of deal structures, financing arrangements, and post-deal integration activities
- Preparing tax models showing tax impacts to both buyers and sellers
- Assisting in consulting projects such as Sec. 382 ownership change and limitation analyses, earnings and profits studies, stock basis studies, and transaction cost analyses
- Training and mentoring staff and senior level colleagues in areas of M&A tax
- Participating in new client development activities
- Staying abreast of legislative and regulatory developments and publishing M&A tax thought leadership and whitepapers for internal, client, and external publications
- Delivering exceptional client service on multiple client engagements, including proactively anticipating client needs, meeting deadlines, and ensuring overall client satisfaction
- Up to 25% travel to client sites
What do you need to succeed in this role?
- CPA or JD required
- 5+ years of M&A tax experience in a public accounting, consulting, or law firm setting
- Significant expertise with the US federal income taxation of C corporations, S corporations, and partnerships
- Understanding of state and local tax, non-income taxes, and international tax
- Excellent oral and written communication skills
- Exceptional tax research skills
- Ability to maintain strong client relationships and effectively oversee project management aspects of client engagements
- Ability to thrive and adapt in a fast-paced, dynamic environment
Preferred Skills
- MST or LLM in tax
