The Senior Counsel, Compliance and Litigation position is a unique and exciting opportunity to join a strong Legal team.  This role will support product, website and other regulatory compliance both domestic and international, including as part of our strategic partnerships’ requirements, to help build and sustain Shutterfly’s global compliance program, and support product and regulatory compliance related litigation across the organization. The successful candidate will possess strong communication and organizational skills, will be curious, and will enjoy a fast-paced, hands-on, proactive environment.  This candidate will be comfortable working collaboratively and proactively within the Legal team, as well as across other functional teams and with external stakeholders.  The successful candidate should be able to prioritize competing priorities and manage projects effectively, but also be hands on and willing to roll up their sleeves.

This will be a critical role in scaling and managing the company’s compliance program across a variety of compliance areas, including product compliance, marketing and pricing compliance, consumer and accessibility compliance, and trade compliance. The role will also help manage the Company’s compliance related litigation, and resolve disputes with customers, external partners, and government agencies.   

This role will report to Shutterfly’s Director of Compliance, Ethics, & Litigation.  We are open to remote candidates, though we prefer that the person be based be based near one of our corporate facilities in the Eden Prairie, MN; Bay Area, CA; Tempe, AZ; Fort Mill, SC; Plano, TX or Durham, NC.

What You'll Do Here:

  • Provide strategic direction, create, enhance, document, train on and advise on legal and regulatory compliance matters across the company, including product compliance, pricing, promotions and marketing compliance, product safety compliance, suppliers and vendors code of business conduct, anti-corruption, conflicts of interest, environmental compliance, export compliance, ADA and accessibility compliance, and supplier/vendor compliance.
  • Work cross-functionally to support and lead projects aimed at reducing the Company’s compliance risk. This role will work with Legal and non-Legal partners to identify potential areas of compliance risk and vulnerability, design solutions to help mitigate risk, and manage the implementation of compliance-mitigation strategies.
  • Serve as a key compliance partner for our strategic partnerships to ensure compliance with our legal and contractual obligations and assist in the negotiation of compliance related provisions and implementation of related requirements in collaboration with the business.
  • Provide advice and counsel to business leaders and non-Legal compliance professionals across the organization on a wide variety of compliance issues, including products compliance; marketing, pricing, and promotion compliance; ADA and accessibility compliance; vendor relations; product safety compliance and trade compliance.
  • Manage and update product and services terms of service and related policies and procedures, including required localization.
  • Create product, marketing, and pricing compliance processes and procedures and train the cross functional business stakeholders.
  • Provide legal support for compliance investigations and audits, working closely with leadership to evaluate and respond to suspected compliance violations.
  • Manage product and marketing compliance related disputes, litigation, mediation and arbitration matters in a business savvy and cost-effective manner, including developing litigation strategy, management of budgets, selecting and managing outside counsel, reviewing pleadings and other documents, collecting data, implementing litigation holds, communicating with insurance carriers and otherwise handling all related matters and documentation.
  • Respond to day-to-day policy issues raised within the organization and provide guidance and recommendations for problem resolution.
  • Help proactively identify business and legal compliance risk areas and work with the Legal and cross functional teams to address and mitigate.
  • Build relationships with internal business leaders and third-party vendors to bring awareness of and education about Shutterfly’s compliance program, processes and procedures and align with the business team to create improvements and efficiencies.
  • Work closely with departmental leadership to support our strategic partnerships and business initiatives.
  • Provide quick, concise, and practical legal advice consistent with Shutterfly’s business objectives.

What You'll Bring:

  • At least six years of relevant legal experience in an in-house or law firm environment. Previous in-house experience strongly preferred.
  • Prior experience in advising on a wide variety of compliance issues, particularly product compliance, across the United States, Canada and preferably Europe, Australia and New Zealand.
  • Prior experience helping to build and manage compliance programs strongly preferred.
  • Member in good standing of at least one state bar (preferably Minnesota, California, South Carolina, Arizona and/or Texas state bar).
  • Strong oral and written communication and interpersonal/relationship-building skills, including the ability to communicate legal considerations to non-lawyers.
  • Highly responsive, flexible, collaborative and service-oriented attitude.
  • A strong sense of urgency and ability to drive results. Ability to adapt to multiple and changing demands and juggle different priorities.
  • Good business judgment and sound decision-making. Ability to develop business-practical solutions to legal issues.
  • Self-starter and quick learner with ability to project manage independently in a fast-paced environment and prioritize workflow.
  • Ability to influence and provide timely and effective legal and business advice, support and training at all organizational levels.
  • Strong analytical and organizational skills.
  • Depending on where the position is located, travel to Minnesota or California may be required.

The compensation package for this role is based on multiple factors, such as job level, responsibilities, location, and candidate experience. The base pay ranges included below are specific to the locations listed, and may not be applicable to other locations.
California: [$149,500-$213,400]
Connecticut, New York, and Rhode Island: [$149,500-$193,150]
Colorado and Washington: [$149,500 – $179,100]
Nevada: [$140,100 - $193,150]
