The Associate General Counsel, Litigation, Compliance and Business Practices, will manage Shutterfly’s litigation, disputes, compliance and IP matters and focus on improving business practices working with the commercial legal team and a cross functional team to introduce automation and playbooks.  This is a great opportunity to expand into different facets of the legal function. This key role works closely with legal and business partners across the organization to provide practical and commercially focused legal advice. The successful candidate will possess strong communication, leadership, management and organizational skills, and enjoy a fast-paced hands-on proactive environment.  This candidate will be able to manage projects and people effectively and also be hands on and roll up their sleeves. This role will report directly to the Chief Legal & People Officer.

Primary Responsibilities

Litigation

  • Manage disputes, litigation and arbitration matters in a business savvy cost effective manner
  • Help proactively identify business and legal risk areas and work with the legal and cross functional team to mitigate those

Business Practices/Compliance/Commercial/Transactional

  • Help create commercial forms and automation and business practices commercial playbook for repeated type agreements
  • Review, negotiate and draft sales, advertising, partnership, marketing and other commercial agreements
  • Draft and update contract templates and partner with team members to improve company’s inbound and outbound contract processes and policies
  • Work with the commercial team to lead the development and maintenance of scalable contract management systems, processes and standards
  • Evolve and refine templates and processes to increase efficiency and scalability of legal support
  • Administration and resolution of legal issues and contract interpretation matters that arise in existing commercial relationships
  • Work closely with departmental leadership to support business initiatives
  • Ensure company’s compliance with laws and regulations in a number of areas, including information security, marketing and advertising
  • Advise on risk related to products manufactured in-house and outsourced to third parties
  • Analyze and advise on a variety of intellectual property matters including the management of company trademarks and pre-litigation infringement claims
  • Provide quick, concise, and practical legal advice consistent with Shutterfly’s business objectives
  • Assist with other needs and projects that come up, including support for merger and acquisition activity across the organization

Employment Law

  • Advise on employment matters, including state and federal compliance (e.g., ADA, ADEA, Title VII, FMLA, FLSA, OFCCP, WARN Act and state/municipal equivalents), disciplinary actions, wage & hour issues, investigations and disability accommodation
  • Respond to day-to-day policy issues raised within the organization and, according to circumstances, provide guidance and recommendations for problem resolution
  • Maintain a thorough knowledge of industry-leading practices and trends
  • Review, negotiate and draft employment and consulting agreements
  • Support resolution of EEOC, state and local agency claims and charges
  • Provide employment law support for mergers, acquisitions and joint ventures
  • Provide educational information and training
  • Review, interpret and make recommendations to management for improvement of company policies, procedures and programs
  • Manage employment arbitrations and litigation

IP

  • Advise on patent, trademarks and open source matters, initiate patent harvesting and manage budget

Although the amount of time allocated to each of these areas will depend on the facts and circumstances at the time, a typical breakout would be as follows: litigation and disputes: 20%; IP: 15%; business practices/commercial/transactional: 25%; employment/employee benefits: 20%; compliance: 20%.

Job Requirements

  • At least eight years of relevant litigation/employment/IP/commercial law experience, with prior in-house management experience required and some experience at a top tier firm preferred
  • D. from an accredited law school with an excellent academic record
  • Member in good standing of California / South Carolina / Minnesota / Arizona / Texas state bar
  • Strong oral and written communication and interpersonal/relationship-building skills, including the ability to communicate legal considerations to non-lawyers
  • Highly responsive, collaborative and service-oriented attitude
  • Flexibility to handle periods of heavy work demand
  • Ability to adapt to multiple and changing demands and juggle different priorities and prioritize for others
  • Experience managing a budget and working with outside counsel on cost effective budgets
  • Ability to influence and provide timely and effective legal and business advice, support and training at all organizational levels
