Shockwave Medical, Inc. is a medical device company focused on developing and commercializing novel technologies that transform the care of patients with cardiovascular disease. Shockwave aims to establish a new standard of care for the treatment of calcified cardiovascular disease through our differentiated and proprietary local delivery of sonic pressure waves, which we refer to as intravascular lithotripsy (“IVL”). Shockwave’s IVL system is a minimally invasive, easy-to-use, and safe way to improve outcomes for patients with calcified cardiovascular disease. Additionally, Shockwave aims to transform the standard of care for patients suffering from refractory angina with its coronary sinus reducer technology, an innovative technology that creates a permanent, controlled narrowing of the coronary sinus.      

Shockwave is a US-based, publicly traded company with global operations, including direct sales teams in North America, Europe, and Asia and additional global sales through a network of distributors.     
Description    
General. Shockwave is seeking to hire an experienced Corporate and Governance Paralegal to: (i) assist with the management of agreements with a variety of business partners, including Shockwave’s EU sales teams; (ii) help create and improve contracting processes and efficiencies; (iii) oversee the review and negotiation of certain contracts; (iv) assist with the operation of Shockwave’s new contract lifecycle management system; and (v) oversee governance of Shockwave’s international subsidiaries. This is an outstanding opportunity to join a small legal team and have a big impact at a collaborative, creative, and high growth company.       
Work Location The role will be fully remote.  Shockwave’s preference is to have the successful candidate located in the UK, France, or Germany, but other EU locations will be considered for the right candidate.     
Responsibilities. Primary responsibilities include the following, but other duties may be assigned:     
            Corporate Governance     
  • Assist with subsidiary governance and record keeping, including maintaining the minute books, preparing meeting materials, and coordinating necessary filings and information requests. 
  • Manage subsidiary policies and charters. 
Contracts     
  • Coordinate daily incoming contract requests, assign contracts for review to Legal where necessary, track matters, and coordinate signature process.  
  • Coordinate and correspond with internal clients and external parties to obtain and exchange information and legal documents relevant to the contracting and approval process. 
  • Foster and develop strong relationships with internal stakeholders in Legal, Sales, Finance, Research, Facilities, IT, and other functions, and coordinate on contracting and reporting requirements. 
  • Learn and implement industry best practices for contract administration using a CLM.   
  • Review, draft and edit a broad range of commercial contracts for internal business partners (e.g., vendor, sales, technology, and nondisclosure agreements) and assist in the negotiation of contractual issues and optimizing of contract language to support business requirements. 
  • Develop training materials on contracting topics for our employees and conduct periodic trainings. 
QualificationsThe successful candidate will have the following qualifications:     
  • Bachelor’s degree preferred but not required. Demonstrated experience may be substituted for the educational requirements. 
  • Knowledge of legal and commercial terms and concepts and familiarity with basic business contracts. 
  • Able to work independently and as part of a high-functioning team in a fast-paced environment. 
  • Sound reasoning skills, excellent problem-solving skills, and ethical judgment within broadly defined practices and policies. 
  • Organizational skills and high level of attention to detail. 
  • Experience working at a life sciences or medical company preferred but not required. 
  • Familiarity with DocuSign, MS Word, Excel, SharePoint, PowerPoint, and Outlook. Familiarity with Oracle and Salesforce is a plus. 
  • Fluency in English. Ability to speak, read and write in German required.
