About the role 
The General Counsel is responsible for overseeing all legal aspects of the organization, including managing the internal legal team and liaising with outside counsel. Reporting to the CFO, the General Counsel will provide strategic legal guidance, ensure regulatory compliance, and manage legal risks for a healthcare company. This role involves leadership of a team of attorneys and paralegals, collaborating with senior management, and coordinating with external legal partners to handle complex legal matters. The successful candidate will have the ability to collaborate with and influence senior management and cross-functional teams to create and adopt legal strategies and implement organizational change.
 
What you’ll do (Essential Responsibilities) 
  • Legal Team Management:  Lead and manage the internal legal department, including a team of attorneys and paralegals. Provide guidance, mentoring, and support to ensure the team’s effective handling of legal matters. Allocate resources appropriately and ensure that the legal team operates efficiently to meet business needs.
  • Litigation Management:  Manage litigation, disputes, and claims related to healthcare, employment law, intellectual property, and other business matters. Coordinate with outside counsel on high-stakes or complex litigation, ensuring strategic and cost-effective legal representation.
  • Employment Law:  Advise Human Resources on employment-related legal matters, including employee relations, compensation, benefits, leaves of absence and compliance with labor laws. Provide legal support for internal investigations and dispute resolution.
  • Legal Compliance & Risk Management:  Ensure the organization’s compliance with healthcare laws and regulations (e.g., HIPAA, Stark Law, Anti-Kickback Statute). Stay current on legal developments in healthcare and ensure internal policies mitigate legal risks. Stay current on relevant business trends that may pose future risk such as AI, labor vulnerabilities, etc. Demonstrated ability of appropriately balancing risk for optimal short and long-term business success.
  • Contract Management:  Oversee the drafting, reviewing, negotiation, and finalization of a wide range of contracts, including vendor agreements, client services agreements, non-disclosure agreements, and employment contracts. Work with the CFO to ensure that contract terms align with financial and operational goals.
  • Corporate Governance:  Provide counsel on corporate governance issues, ensuring that the organization complies with state and federal regulations. Advise the CFO and senior management on governance best practices and corporate policies.
  • Liaison with Outside Counsel:  Serve as the primary point of contact for outside counsel. Manage relationships with external law firms, ensuring that outside counsel is engaged effectively and cost-efficiently. Oversee external legal representation for litigation, regulatory matters, and specialized legal areas.
  • Ethics & Integrity:  Promote a culture of compliance and ethical conduct across the organization. Develop and implement legal policies and training to ensure that all employees understand their responsibilities in maintaining ethical standards.
  • Intellectual Property:  Oversee the protection and management of the company’s intellectual property portfolio, including patents, trademarks, and copyrights. Ensure proper legal measures are in place to protect the company’s proprietary technologies and processes.
  • All other duties as assigned.
 
What you’ll bring (Qualifications) 
  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Active member in good standing with the state bar.
  • 15+ years of legal experience, with significant focus on healthcare law.
  • Previous in-house, general counsel experience in a healthcare organization is highly desirable.
  • Demonstrated experience managing and developing a legal team, including attorneys and paralegals.
  • Strong expertise in healthcare regulations, such as HIPAA.
  • Proven ability to manage relationships with outside counsel and oversee external legal matters.
  • Proven ability to drive key legal initiatives and influence internal stakeholders to align with compliance goals.
  • Excellent contract negotiation and drafting skills.
  • Strong leadership, communication, and interpersonal skills.
  • Experience with employment law preferred.

  • Team Leadership:  Strong ability to lead, mentor, and develop a high-performing legal team. Experience in managing multiple direct reports and ensuring team collaboration.
  • Relationship Management:  Proven ability to manage relationships with external law firms and other legal professionals, ensuring effective and efficient handling of legal matters. Proven ability to collaborate and drive change with internal stakeholders.
  • Strategic Thinking:  Ability to align legal strategy with the organization’s broader financial and operational goals, particularly in a complex healthcare regulatory environment.
  • Risk Management:  Expertise in identifying and managing legal risks, providing strategic solutions to protect the organization.
  • Communication:  Strong written and verbal communication skills, capable of clearly articulating complex legal matters to non-legal stakeholders and senior management. 
  • Strong administrative/technical skills; Comfort working on a PC using Microsoft Office (Outlook, Word, Excel, PowerPoint), IM/video conferencing (Teams & Zoom), and telephones efficiently. 
  • A high degree of personal accountability and trustworthiness, a commitment to working within Quantum Health’s policies, values and ethics, and to protecting the sensitive data entrusted to us.
