Description


Responsibilities 

  • Assist with general compliance matters for our global subsidiaries, including entity formation, management, and dissolution
  • Participate in M&A integration, due diligence activities and major transactions
  • Actively track important deadlines and tasks and provide support for other special projects and departmental matters
  • Support corporate governance processes, including preparation for board of directors and committee meetings, annual meeting materials, and organizing and maintaining all corporate records
  • Prepare, proofread, or process legal documents, such as summonses, subpoenas, complaints, appeals, motions, or pretrial agreements
  • Arrange for delivery of legal correspondence to clients, witnesses, and court officials
  • Organize and maintain law libraries, documents, and case files
  • Assist in reviewing, organizing and managing certain M&A files and documentation.
  • Updating and enforcing certain internal policies administered by the legal department, including the company’s Insider Trading Policy.
  • Contribute to organizational, process and procedural review and changes to increase departmental efficiency.
  • Perform various administrative tasks, including scheduling meetings and webinars, mail sorting and distribution, retention and destruction of law department documents, preparing overnight shipping labels, creating and maintaining binders for filings, indexing and filing closing documents for cases and agreements.

Requirements 

  • Bachelor’s degree and/or qualification to be a paralegal by certification or education and work experience as set forth by the American Bar Association and any applicable state codes.
  • 3-5 years of experience working in an in-house legal department for a medium or large company or in an internationally/nationally-recognized law firm representing public companies.
  • Strong computer proficiency and experience with document review technology and workflow, including with office productivity software such as Microsoft Word and Excel.
  • Ability to think creatively, function independently, work proactively and collaboratively with high attention to detail in a fast-paced environment.
  • Ability to handle complexity and manage multiple projects concurrently, and demands with a sense of urgency.
  • Excellent verbal and written communication skills, client relationship, professional judgment, and contract drafting skills, with the ability to interact with internal and external constituents at all levels.
  • Positive attitude and self-motivated, with the ability to prioritize and manage multiple projects to meet tight deadlines.
  • Mandarin language (read and write) a big plus.


Pay Rate:  $25/hr - $35/hr
