Your Mission:

Medidata is a company at the intersection of life sciences and SaaS technology. We are looking for a Contracts Negotiator to join our Legal Team and support our global commercial business. The successful candidate will be an individual who can draft and negotiate sophisticated agreements. In addition, the Contracts Negotiator will play a key role in developing and managing a scalable contracting process that position Medidata for efficient and rapid growth.

You will:

  • Draft, negotiate and revise highly complex contract documents supporting Medidata’s platform. Contracts are primarily SaaS agreements but also include non-disclosure agreements, professional services agreements, as well as sales orders/statements of work and service level agreements.

  • Create and review technical and legal terms and conditions in legal documents to align with Medidata’s risk tolerance and business model to negotiate most favorable terms.

  • Coordinate with internal business stakeholders to review impact of customer requests and obtain necessary approvals from subject matter experts.

  • Review new business models and product offerings and implement those models and offerings into negotiated contracts.

  • Review, evaluate, and report on the commercial risks of sales contracts to Medidata and develop and recommend negotiation strategies to mitigate those risks.

  • Keep apprised of Medidata’s business goals, strategic plans, risks and issues and maintain a good understanding of the processes used by Medidata to conduct its operational and business affairs.

  • Review internal contracts processes to ensure overall efficiency.

  • Aid in development and maintenance procedures for complying with legal and regulatory requirements and business practices.

Your Competencies:

  • Substantive knowledge in the areas of SaaS agreements and other technology licensing.

  • Excellent written and verbal communication skills

  • Strong attention to detail; with exemplary troubleshooting and problem-solving skills.

  • Ability to work in a face-paced, multi-project environment while maintaining positive relationships with cross functional-stakeholders at all levels

Your Education and Experience:  

  • Bachelor's degree from an accredited university or college

  • Five (5) years of experience with contract negotiation and drafting, preferable in the context of a software or life sciences company
