The Opportunity
We are looking for a Vice President to join our Fiduciary Team as part of our financial services business in Luxembourg.
As part of the global expansion of the Maples Group’s financial services offering, our Luxembourg office opened its doors in 2007. Located in Cloche d'Or, a commitment to service excellence and investment in our people quickly established Luxembourg as a regional hub where our 80+ teammates deliver the best-in-class solutions to clients worldwide alongside our Maples and Calder (legal services) colleagues
 
The Director VP is mainly responsible for the efficient management of the portfolio of companies assigned to their FDT regarding the administrative, financial, legal, tax and compliance aspects over their life cycle. As part of our Luxembourg team you will be performing below key duties:
 
  • Assisting with the client acceptance and compliance process;
  • Acting as Director on Board of Client Companies;
  • Incorporating Luxembourg companies;
  • Ensuring that clients and the related transactions are approved by Luxembourg Business Acceptance Committee (the “LBAC”) and Business Acceptance Committee (the “BAC”);
  • Compiling a complete KYC file for approval of the compliance manager;
  • Monitoring the transactions of the companies under their FDT in respect of anti-money laundering or finance of terrorism;
  • Ensuring all legal and tax requirements are met during the whole life cycle of his/her companies under management;
  • Invoicing of client companies and ensuring that receivables are collected in a timely manner;
  • Dealing with daily administrative matters and queries on accounting;
  • Reviewing transaction documents, corporate secretarial matters and participating in board meetings.
 
 
Requirements:
In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:
  • Experience in liaising with investment bankers, lawyers, investment managers, prime brokers, custodians and other transaction parties located in various international jurisdictions;
  • Strong drafting and communication skills, are essential;
  • At least 5 years of legal experience;
  • Strong knowledge of Luxembourg regulations;
  • Strong knowledge of AML regulations/guidelines;
  • A university graduate with an excellent academic background and relevant experience gained in Luxembourg;
  • An understanding of structured finance transactions, experience in reviewing transaction documents and knowledge of corporate governance, relevant Luxembourg laws and regulatory requirements is a must;
  • Fluent English is required, and additional languages will be beneficial.
