About the Role
Our highly regarded Funds Team is looking for a Paralegal to the join the London office of Maples and Calder.
The successful candidate will assist in the day-to-day establishment and maintenance of an active portfolio of hedge funds and private equity funds, and other alternative investment funds in addition to general corporate work.
The candidate will have a high level of client interaction, thus must possess strong communication skills (both written and oral). It is also essential that the candidate be well organised, have good attention to detail and be able to work comfortably in a professional environment with tight timetables and multiple deadlines.
The responsibilities of the role will include, but are not limited to:
- Providing assistance to the funds team with the set up and formation of Cayman funds structured as companies, partnerships and unit trusts;
- Preparing, reviewing and/or assisting with the drafting of documentation relating to the group's portfolio of companies, partnerships and trusts;
- Preparing, filing and/or obtaining all authorisations, consents, approvals, licences, validations or exemptions that are required by Cayman Islands law from any governmental authorities or agencies (e.g. the Cayman Islands Stock Exchange) or other official bodies in the Cayman Islands with respect to the group's portfolio of companies, partnerships and trusts;
- Lead liaison with legal teams at onshore law firms in connection with the launch and registration of new funds and their ongoing maintenance;
- Lead liaison with Maples Corporate Services in the Cayman Islands in relation to legal and regulatory filings;
- Drafting of Cayman Islands documents from precedents;
- Reviewing standard transaction documents from onshore counsel;
- Post-deal completion tasks;
- Dealing with regulatory issues, liquidations and de-registrations;
- Assisting with special projects from time to time.
EXPERIENCE
What You Bring
This post requires significant attention to detail, professionalism, ability to multi-task, and excellent organisational, prioritisation and communications skills. In addition, the successful candidate will be required to adhere to internal policies and procedures.
- The ability to interact professionally with a diverse group, including executives, managers and subject matter experts
- Strong organisational skills and attention to detail
- Solid commercial background gained preferably through experience at a reputed Magic Circle/City Firm
- Ability to work with minimal supervision
- Strong customer service, problem solving and teamwork abilities
- Effective communicator and confident in client interaction
- Ability to work well under pressure and meet deadlines
- Although not a requirement, experience/knowledge of investment funds documentation, including previous experience in drafting and reviewing the same would be an advantage.
