The Team and Role:

Logitech is hiring a Senior Corporate Counsel  to join our Corporate & Securities team and will report to the Associate General Counsel, Corporate & Securities.

 Our new Senior Corporate Counsel will have  a broad portfolio of responsibilities.  Providing counsel and strategic guidance regarding governance, proxy, and executive compensation will be central to the role.  This person will have the opportunity to work with the highest levels of Logitech’s leadership, including members of the Board, CEO, CFO and General Counsel, as well as to support our internal teams including People & Culture, Finance, and Investor Relations.  Experience with international companies, companies established outside the U.S., or both is a plus.

  • Advise on design and  implementation of equity and incentive compensation plans and other executive and director compensation arrangements, including deferred compensation plans, employment agreements, severance and change in control plans, bonus and performance plans and director compensation policies

  • Draft and design key compensation disclosures including preparation of Logitech’s proxy statement and CD&A

  • Serve as expert advisor on governance related compensation matters including SEC requirements, input from investor advisory firms such as ISS and Glass Lewis, and partnering with Logitech’s AGC, EU Corporate Counsel to ensure alignment with Swiss regulation

  • Support activities relating to the annual shareholder meeting

  • Provide general governance and corporate support, including responsibility for Board and company governance requirements and processes, general review of Board materials, advice regarding corporate law and stock exchange requirements, and legal support related to corporate secretary activities

  • Support complex transactions by providing legal research, advice and strategy on executive compensation and benefits matters

Key Qualifications:

For consideration, you must bring the following minimum skills and experiences to our team:

  • 7-10 years of relevant experience;  a combination of law firm and in-house experience is preferred

  • Member in good standing of a state bar, preferably New York or California

  • Substantial public company experience advising boards of directors and C-Suite executives

  • Substantial experience in executive compensation and benefits matters, including the corporate, securities and tax law, and ERISA issues arising in the implementation and administration of compensation programs

  • Strong familiarity with corporate governance policies and trends, especially those related to SEC disclosure, ISS and Glass Lewis

This position offers an annual base salary typically between $ 208k - $ 274K.

In certain circumstances, higher compensation will be considered based on the business need, candidate experience, and skills.
