Position Summary:  
  
Katz, Sapper & Miller (KSM) has a Tax Senior Associate opportunity to join their growing Transaction Advisory Services (TAS) team. The TAS Tax Senior Associate is a crucial team member that will ensure engagements are executed timely, guarantee client expectations are met (if not exceeded), and support the overall delivery of the TAS team strategy.  This individual will report to both the technical tax leaders and leaders of the TAS practice and be a key member in helping the TAS team continue to grow.  
  
Responsibilities:  
  • Operates as a member of multiple deal teams, leading tax due diligence, and supporting our private equity and strategic acquirer clients.  This role will be the primary tax contact for individual tax diligence engagements and will work alongside the financial diligence team and with the tax technical leaders.
  • Communicates engagement status with both the financial diligence deal team and technical tax leaders.  Key topics of communication can include open tax requests or more paramount items such as tax exposure or structuring items.
  • Liaison with the various technical tax diligence leaders including federal, state, and local, sales tax to understand and mitigate potential issues.
  • Assists technical tax leaders assess tax risks and opportunities while providing guidance to both strategic and private equity buyers and sellers on different tax strategies for acquisition, disposition, and restructuring of businesses. 
  • Aids in reviewing and analyzing acquisition agreements and merger agreements and participates in reps and warranties calls where needed.
  • Develops and manages client relationships, and overall has a growth mindset.
  • Collaborates with financial diligence professionals to identify new marketplace opportunities to grow the KSM TAS practice.
  • Strong writing skills that succinctly describe potential risks and tax exposures.
  • Assists technical tax leaders with tax modeling on projects specific to the subject transaction.
  • In down time researches relevant tax updates and rulings, ensuring clients understand the latest proposed or enacted developments in tax legislation and industry standards. 
  • This individual will help the technical tax leaders draft articles on the latest tax diligence findings and research that could be shared on the internet.
Requirements/Qualifications:  
  • Bachelor’s Degree from an accredited college or university required.
  • 3+ years of relevant experience
  • CPA, MST a plus
  • Excellent verbal and written communication skills
  • Experience and knowledge of US federal, international, and state income tax disciplines
  • Strong Excel skills preferred
  • Ability to articulate complex information to clients when providing vital insights, analysis, etc.
  • Essential working knowledge of non-income based federal, state, and foreign tax regimes; this includes but is not limited to indirect, payroll, property, and ad valorem taxes
