Overview:

Kaleido Biosciences is seeking an experienced and talented attorney to work closely with partners across the company, overseeing all aspects of corporate and securities law, including strategic transactions, financings, corporate governance and SEC reporting. Reporting to the Chief Operating Officer & General Counsel, this will be a high-profile, high-growth position in a small legal department with significant exposure to all levels of the organization and the Board of Directors.

 

Summary of Key Responsibilities:

  • Primary responsibility for the preparation and filing of all SEC filings, including 10-Qs/Ks, 8-Ks, proxy statements, Section 16 filings, confidential treatment requests and annual meeting process.
  • Provide legal support on financings, investor relations communications and strategic transactions.
  • Working with the Chief Operating Officer & General Counsel, provide legal support to the Board of Directors and Board Committees.
  • Draft, negotiate, and finalize contracts including confidentiality, services, consulting, clinical trial, manufacturing and supply, and other agreements.
  • Support Kaleido’s privacy program, both in the United States and internationally.
  • Support the Human Resources Department on employment-related needs.
  • Assist the Legal Department in fulfilling training needs throughout the organization, including the development and presentation of training sessions on relevant laws and legal/business issues and processes.
  • Provide legal advice and support in a wide array of practice areas and special projects as needed.
  • Supervise external legal counsel on all of the above matters.

 

Qualifications:

  • J.D. from a law school accredited by the American Bar Association (ABA).
  • Admitted to practice law in one or more states, preferably Massachusetts.
  • 6+ years of experience within a high-growth U.S. publicly traded biotech, pharmaceutical or technology company, or law firm equivalent.
  • Substantive experience in the securities practice of a strong law firm and/or overseeing securities work in a publicly traded biotech or pharma company.
  • Substantive experience in contract drafting and negotiation, including with respect to complex transactions; experience with corporate governance, employment law, litigation, and/or privacy preferred.
  • Self-motivated, assertive, and self-confident with the ability to act with urgency and passion.
  • Strong technical/analytical skills, combined with a practical, business-oriented approach to identifying and solving business and legal problems.
  • Developed sense of judgment, risk management skills and ability to balance complex legal matters involving multiple stakeholders and various priorities; demonstrated ability to understand business strategy and goals.
  • Entrepreneurial, enjoys working in a fast-paced, small-company environment.
  • Proven ability to work with a high level of integrity, accuracy, and attention to detail.
  • Strong organizational skills to maintain a high level of productivity, innovation, and priority-setting to complete work on-time and on-budget.
  • Excellent oral and written communication skills for effectively interfacing with all levels of the organization.
