The Associate General Counsel, Mergers & Acquisitions, will serve as a strategic adviser and business executive within the legal team and to j2’s Executive Management.

Reporting to the General Counsel of j2 Global, Inc., you will be primarily responsible for managing the legal side of j2’s significant global merger and acquisition program (j2 Global has completed over 30 acquisitions since 2017) across j2’s Digital Media and Cloud Services divisions. In addition, you may be asked to support general corporate initiatives throughout j2’s varied business units.

You will be expected to provide business and legal advice across j2’s multiple product lines, facilitating the achievement of financial and operational objectives and managing global legal risks and exposure.

Job Duties:

    • Oversee the legal aspects of our M&A transactions, negotiate transaction documentation, coordinate internal and external legal teams and manage any cross-border issues.
    • Provide counsel to the j2’s executive team, divisional senior staff on a range of compliance, risk management and corporate governance matters and practices.
    • Support day-to-day legal operations and staff
    • Provide practical legal advice and support across all business functions, including sales, business development, product management, marketing, engineering and human resources.
    • Establish, recommend and implement policies, budgets and goals.
    • Build, develop and maintain infrastructure, policies and practices to support the expansion of the Company.
    • Coordinate with internal tax team on matters of corporate structure and global tax issues.

    Job Requirements and Experience:

    • Prior experience as corporate attorney with emphasis on Mergers & Acquisitions in a multi-national law firm, public media or technology company or private equity firm preferred.
    • At least 8 years’ experience preferred, including time both at a top law firm and overseeing a legal team of a high-growth public company.
    • Excellent communication skills with the proven ability to convey legal advice clearly and effectively.
    • Excellent legal, business and practical judgment with strong problem solving skills.
    • Excellent interpersonal skills & the ability to work effectively with employees at all levels.
    • Strong understanding of regulatory compliance as it relates to corporate governance and risk management.
    • Hands on approach and high level of attention to operational execution.
    • Demonstrated aptitude and comfort with change management.
    • Strong management skills, ability to motivate and develop staff.
    • High energy level and demonstrated ability to coach and guide multiple objectives and initiatives simultaneously.
    • Strong entrepreneurial spirit with ability to develop appropriate processes to manage growth.
    • Ability to work in fast paced, high pressure and rapidly changing environments.      

    Minimum Education Required:

    • Must be a graduate of an accredited law school and a member in good standing of at least one state bar (preferably New York).
