About You

You are an experienced corporate and transactional paralegal with a diverse practice area encompassing multiple aspects of transactional legal work. As a corporate paralegal you are familiar with complex contracts and their various attachments and understand how to shepherd the same to full execution. At the same time, your transactional work also allows you to ensure that all proper licenses, permits, and registrations for the company are properly filed and up to date.  In addition, you are looking to both expand your skills and expertise through cross-department collaboration and by participating in the active growth of the company in its merger and acquisition work, which forms part of its monthly operations. Finally, you are also skilled at using your calendar to administer to all of the company’s active contracts, and track other long-term projects, goals, and deadlines to ensure the uninterrupted progress of company business.

About the Job

We are currently seeking a mid-level corporate and transactional paralegal for our Contracts and Risk Services department. This position will assist the Director of Contracts and Risk Services in negotiating and administering all of the company’s client contracts and attending to general corporate administration and upkeep and participate in the company’s active and ongoing merger and acquisition work to grow the company in size, geographic footprint, and scope of professional services offered.

The day-to-day work will involve balancing the ongoing work of the company, participating in onboarding new work, and responding to unexpected matters, which arise frequently and naturally as part of the company’s business operations.  Experience in prioritizing issues, working with senior management and scientists, and providing excellent customer service are essential to your success in this position. A positive disposition to teamwork and a proactive mind set are expected. 

This position may offer in-office, remote, or hybrid opportunities based on the candidate’s location and the needs of the organization.  

Responsibilities

As a Corporate Paralegal, your job functions will include, but not be limited to:

  • High volume contract administration and management
  • Understanding of contractor and subcontractor agreements, including tracking of master agreements, work orders, change orders, prime contract flow-downs, and all appropriate redactions and amendments
  • Knowledge of insurance policies, coverage types and limits, and which must include knowing how to identify and comply with client contract requirements
  • Engagement in federal, state, and municipal procurement, negotiation, contracting, and awards
  • General business and corporate transactional paralegal practice, including:
  • Synthesizing and assembling complex multiparty contracts including the incorporation of all supporting documents and the completion of all required federal and state filing requirements to produce execution-ready end agreements
  • Business entity oversight, including drafting corporate records, and preparing appropriate federal, state, and local filings
  • Compliance with and/or oversight of various federal and state agencies, such as the Secretary of State, the Department of Revenue, Department of Environmental Protection, professional registration boards, county and municipal departments, and all other necessary regulatory bodies for licensure and permitting
  • Mergers and acquisitions support
  • Work on covenants of confidentiality, noncompete agreements, and the obligations and procedures for handling highly sensitive and confidential materials

Qualifications

Candidates should hold a bachelors degree from an accredited college or university together with a valid paralegal certificate.

The ideal candidate will have:

  • 3+ years of experience as a corporate or transactional paralegal
  • 1+ year of experience in construction/contractor law
  • 1+ year of experience with federal contracting and procurement portals, software, and interfaces
  • An expert understanding of all aspects of Microsoft Office
  • An expert understanding of Adobe Acrobat and DocuSign
  • Excellent written and oral communication skills
  • A desire to grow both intellectually and professionally
  • Strong organizational abilities
  • Ability to work independently and within a multidisciplinary team of scientists and engineers

Annual Salary Range: $80,000–$100,000 

Compensation is commensurate with experience and internal equity, within the listed range. An employee’s total compensation package includes annual salary, company-subsidized (employee and family) medical, dental, and vision insurance, 401(k) participation with a company match of 1% to 4% of annual compensation; company-paid life and short- and long-term disability insurance; paid sick leave (10 days), paid vacation (10–12 days), paid holidays (9 days) per year; and the potential for an annual discretionary bonus based on company performance. Paid time off will be prorated to reflect part-time scheduled hours, if applicable.
