Job Summary
In this newly created entry-level role, the Paralegal will provide a broad range of both legal and administrative support to the Legal Department and collaborate with cross-functional teams, including Sales, Marketing, Operations, Medical, Regulatory, Accounting, Corporate Securities, and Finance, as well as external third parties. This is a dynamic opportunity for the right candidate who is willing to learn and wants to excel in a role that will grow and expand based on demonstrated skillsets.
Role required to be on site at Company’s Boston area office.
Responsibilities and Growth Area Potentials for the Position
- Draft, review, and administer a wide range of commercial agreements, including NDAs, vendor agreements, service agreements, consulting agreements, licensing agreements, purchase agreements, amendments, renewals, and other transactional contracts.
- Coordinate internal contract approval workflows and ensure all required business, legal, finance, and executive approvals are obtained prior to execution.
- Maintain organized legal records, databases, and correspondence for executed agreements, pending matters, and contract documentation.
- Monitor key contractual dates, obligations, notice periods, renewals, expirations, and compliance requirements.
- Identify, escalate, and assist in resolving contractual disputes, compliance concerns, and other legal issues with internal teams or external counterparties.
- Support corporate governance activities, including preparation of board materials, resolutions, minutes, entity management, annual filings, and maintenance of corporate records books.
- Prepare, coordinate, and assist with SEC filings, including Forms 3, 4, and 5, Section 16 reporting, beneficial ownership reporting, insider trading compliance, and related documentation.
- Assist in coordination of EDGAR filing processes, filing calendars, signature page collection, and submission logistics.
- Manage subsidiary formations, qualifications, dissolutions, and related state corporate filings.
- Assist with legal department administration, including invoice processing, outside counsel coordination, matter tracking, budget support, and document management.
- Support compliance initiatives through policy updates, training coordination, certifications, and internal process improvements.
- Handle confidential and sensitive legal, executive, and corporate information with a high degree of discretion and professionalism.
- Provide executive and administrative support to the General Counsel and senior leadership on special projects, reporting, and ad hoc legal matters.
- Perform additional legal operations, corporate, and compliance responsibilities as needed to support departmental priorities.
Qualifications (Experience and Education)
- Bachelor’s degree or equivalent experience required; coursework in legal studies, business, political science, or related field preferred.
- Paralegal certificate or relevant legal training preferred but not required.
- Open to candidates ranging from entry-level recent graduates with a strong interest in law, contracts, or corporate governance to experienced professionals with corporate paralegal or contract management experience.
- Experience in an in-house legal department or within the pharmaceutical, biotech, life sciences, or medical device industries is preferred for more experienced candidates.
