This position is for VP, Contracts. This role will be based in New York. Reporting to the General Counsel, the principal mandate of the VP, Contracts is to lead and manage the Contracts team responsible for drafting and negotiating author contracts and related services. It is also expected that the VP, Contracts will have the capacity to draft and review contracts and related documents, and oversee workflow processes with the aim of improving efficiencies in managing the contract lifecycle and contract support within the company.

Primary Responsibilities:

  • Ensuring that all core Contracts work areas are functioning in good order with respect to staffing, training and workflow efficiency, including the following areas:
    • Author and Illustrator deal memo and contract drafting process, including amendments and directions to pay
    • Maintaining communications and workflow between Royalties and Contracts Departments and managing data in the company’s systems
    • Subsidiary rights license drafting
    • Copyright Registration
    • Cancellations/Reversions
  • Actively and continually improving the drafting and negotiation expertise of the Contracts team, and advising on author contracts and supporting staffers on difficult negotiations (including reviewing contracts drafts as necessary)
  • Advising and supporting and offering training to publishers and editors around acquisitions
  • Ensuring that the boilerplate and contract terms reflect the company’s needs and changes in the industry and negotiating boilerplate changes with agents
  • Providing support to Legal where legal matters interface with Contracts processes, including offering informed interpretations of contract language and intent of negotiations
  • Proactively addressing potential issues to Legal as needed and working with the business to participate in solutions to meet business objectives
  • Keeping abreast of contract related changes within the industry, and making informed, thoughtful and relevant recommendations to adapt contract language or procedures as necessary

Qualifications / Requirements

  • Minimum of 10 years working in the publishing industry with experience directly related to author contract drafting and negotiations and familiarity with the acquisition process.
  • Awareness of standard U.S. contract law principles and general business trends in the industry.
  • Proficiency in Microsoft Office Applications (Word, Excel, and PowerPoint) required. Experience with Title Management preferred.
  • Strong verbal and writing skills for complex communications (presentations, negotiations, etc.) with agents, editors and colleagues at senior levels
  • Demonstrated ability to contribute as part of a high-performance team. Attention to detail in fast-paced environment and under deadlines that can be difficult at times.
  • Successful management of workload; able to manage expectations of business clients through effective communication and problem solving
  • Prior management experience required.
