Corporate, Capital Markets. We are initiating a search for a Junior Associate for our New York Capital Markets Group with public company and other securities experience.

Ideal candidates will have experience in public and private offerings of debt and equity, including initial public offerings and follow-on offerings, interfacing with the SEC and other regulators, and handling the ongoing reporting requirements under the ’34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks and proxy statements. Experience in representing issuers is more desirable than representing underwriters, but experience with both representations would be beneficial. Other experience, such as with tender offers and S-4 registration statements, would be helpful.

Candidates also should have day-to-day experience counseling public companies, including with respect to corporate governance matters. Candidates should possess a strong academic background, client management skills and superior drafting and negotiation skills. Candidates must have the skills to retain and grow existing clients and relationships. Candidates also should be admitted to the New York bar.
