Corporate, Capital Markets. We are initiating a search for a Junior Associate and a Mid-Level Associate for our New York Capital Markets Group with public company and other securities experience.

Ideal candidates will have experience in public and private equity offerings, including initial public offerings and follow-on offerings, proxy statements and S-4 registration statements in connection with business combination transactions, interfacing with the SEC and other regulators, and familiarity with the ongoing reporting requirements under the ’34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks and proxy statements. Experience in representing both issuers and underwriters would be beneficial.  Other experience, such as working with SPACs and REITs or with debt offerings, would be helpful.

Candidates also should have day-to-day experience counseling public companies, including with respect to corporate governance matters. Candidates should possess a strong academic background, client management skills and drafting and negotiation skills. Candidates must have the skills to retain and grow existing clients and relationships. Candidates also should be admitted to the New York bar.
