The Role:   

Our Capital Markets Practice represents clients in a variety of cross-border capital markets matters. Our experience spans an array of industries, and we work on a broad range of both equity and debt capital markets transactions. Our U.S. capital markets team works on cross-border transactions involving a number of European countries/issuers, including in particular Poland, Germany, the Netherlands and Italy, as well as the Middle East (with our new offices in Riad and Dubai), some emerging markets and South Korean work. We also work regularly with our capital markets teams in our U.S. offices, including New York, Chicago, Florida and others. In addition, our U.S. capital markets team works closely with our London-based finance and restructuring team on liability management transactions and bond-restructurings. 


We are looking for a mid-senior level associate to join the Capital Markets practice group but can also work with our Banking and Finance teams where required. 
 

Responsibilities:  

The ideal candidate should have substantial experience in debt capital markets transactions but also have a good understanding of equity capital markets transactions. Candidates should have experience drafting, reviewing, and revising prospectuses and offering circulars for Rule 144A offerings (including MD&A/OFR sections), underwriting and purchase agreements, indentures and fiscal agency agreements/trust deeds, opinions and closing deliverables, review of comfort letters. They should have a good understanding of covenants in high yield and investment grade debt transactions, and familiarity with liability management exercises. Experience acting for both issuers and underwriters would be beneficial. Experience acting on English law capital markets transactions is desirable, and the candidate would be expected to work on New York as well as English law governed capital markets transactions. Experience with SEC-registered foreign private issuers would be an additional asset. 


Candidates should be willing to take on significant responsibility for deal management, client interaction and work product, and be diligent, proactive, supportive and team oriented, and admitted as an attorney in New York. Dual admission as a Solicitor in England & Wales would be an asset.

  • Recent experience working in a London-based U.S. or top English Law firm working on cross-boarder transactions
  • Superior drafting skills and negotiation skills
  • Ability to understand complex legal principles and apply them accordingly
  • Excellent communication skills, both written and oral
  • Effective interpersonal skills and the ability to interact with people at all levels.
  • Demonstrate ability to confidently interact with clients and actively seek new business development opportunities

Qualifications:  

  • Admission as an attorney in New York.
  • Admitted to practice as a solicitor or barrister in England and Wales in addition would be an asset.
  • Undergraduate degree achieving a minimum of a 2:1 or equivalent
