ROLE OBJECTIVE

This is a senior role in the UK business supporting the Mindshare Group (Mindshare UK & Neo Media World Europe) Commercial Team, UK client teams, as well and broader UK Commercial Finance Team, Global Legal Director as part of the wider GroupM Legal Team.

The successful candidate will not only provide the expected legal expertise in drafting and negotiating contracts and policy, but to also understand how to support commercial negotiations in line with best practice and group guidance, and be keen to understand and learn in a fast paced environment.

The ideal candidate will be legally astute and be a qualified lawyer who has worked in a well-recognised UK commercial law firm and preferably with inhouse experience. They should have significant experience in drafting and negotiating high value commercial contracts ideally in a media and/or technology context. Knowledge of intellectual property and data privacy desirable.

The role will report to the Mindshare Group UK Commercial Director.

Travel may be required from time to time.

 

KEY RESPONSIBILITES

As well as forming part of the UK commercial team, the key areas of responsibility for this role are:

  • Drafting, negotiating and advising on a range of media services, creative content, supplier agreements, trading agreements, technology licences, data processing agreements and non-disclosure agreements
  • Advising on data related queries, such as data privacy and security issues and the transfer, use and storage of data
  • Developing know-how / training materials in, and delivering training on, specialist and emerging areas such as: social media, online advertising and data protection.
  • Assisting the commercial team and wider business in understanding legal developments and / or updates to group policy and compliance requirements.
  • Working with other key stakeholders in the business to set strategy and policies for managing risk in new and emerging products and services
  • Helping to create a high profile of the legal resource throughout the business and encouraging active legal involvement in operational decision making
  • Responsibility for legal aspects of pitch responses and client renegotiations
  • Managing relationships with internal group counsel (Mindshare/GroupM/WPP) & external law firms and other professional advisors (notably auditors)
  • Understanding intellectual property rights and managing related risks and liabilities
  • Development of user friendly contract templates that can be utilised across the business

 

 

 

 

  • Ability to interact across the business and act as liaison between the commercial team and client legal/commercial, external and Global/group legal counsel and internal business leaders
  • Implementing data privacy good practice and assisting the business with data privacy compliance issues
  • Work with UK Operations Board to embed best practices for Data Privacy
  • Be Mindshare UK legal representative on UK Governing bodies steering committees (IAB, ISBA, IPA).
  • Managing & preventing client litigation
  • Advising on reputation management
  • Managing contract database

 

EXPERIENCE AND QUALIFICATONS

Essential criteria:

  • excellent communicator - ability to explain legal issues clearly without jargon to commercial, non-commercial, creative team, suppliers and client (Marketing, Procurement, Legal)
  • ability to build and drive strong and collaborative working relationships with different teams and people across the business
  • keen to work collaboratively in a team of non-lawyers
  • the capacity to meet conflicting project deadlines, manage fast-paced workload and escalate issues as appropriate
  • a focus on finding solutions to problems which mitigate risk appropriately
  • understanding and awareness of commercial and business needs with the ability to understand and resolve the tensions between such commercial objectives and legal requirements,
  • ability to draft contracts and other legal documents using precedents and from scratch
  • self-motivation and a hunger to learn and develop
  • very strong organisational and time management skills
  • professionalism and cordiality to drive respect for legal engagement
  • commercial thinker – ability to understand the tensions between commercial objectives and legal requirements, and resolve those tensions
  • operational / commercial experience, must be able to add-value, support / enable / facilitate change

  • fluency in English
  • interest in the media sector

Desirable criteria:

  • Media / advertising contract experience desirable
