Summary:

Seeking attorney to oversee securities and corporate governance matters as part of a team of highly motivated and experienced professionals. This in-house legal team works in a collaborative environment that stresses partnership, recognition, accountability, and having fun while delivering the highest level of service to the bank’s business lines. We are looking for an applicant with5+ years of relevant securities and public company experience (33/34 Act). Prior in-house experience and/or big law training is preferred. This position will assist with all SEC and NYSE compliance and disclosure obligations, including Section 16, quarterly, annual, and periodic reporting and compliance, corporate governance matters, including corporate responsibility reports, and the review of corporate communications and investor presentations.

 

Essential Duties and Responsibilities:

  • Work with company external reporting team and general counsel to oversee compliance and disclosure of all 1934 and 1933 Act filings, including drafting, reviewing, and submitting public filings using wdesk platform.
  • Oversee compliance and disclosure obligations with NYSE.
  • Oversee Insider Trading Policy, pre-clearance procedures, and Section 16 reporting obligations.
  • Work with corporate secretary and general counsel on corporate governance matters, board matters, ISS data verifications, and corporate responsibility reports.
  • Oversee and review corporate governance policies and procedures.
  • Oversee and work with outside counsel on securities, corporate governance, and M&A matters, as necessary.

 

Qualifications: 

Education and/or Experience:                   

  • JD and active license required
  • 5+ years of relevant securities and public company experience (33/34 Act). Prior in-house experience and/or big law training is preferred. Corporate M&A, corporate transactional, and bank regulatory experience preferred.
