Who you are:

Fingerpaint is seeking to add a newly established leadership role on our team to oversee all legal matters for the company. Reporting to the Chief Financial Officer, the General Counsel role is an opportunity for a dynamic leader to join a fast-growing company. The role will provide strategic guidance to the company as it relates to the control, compliance, and legal affairs of the organization as well as partner with the executive leadership team executing the company’s vision, strategic goals, and growth agenda including M&A activity. The General Counsel will ensure compliance with all applicable legal and regulatory requirements and commitments, prior experience in the healthcare industry and familiarity with the various regulatory bodies is a must.

What you'll do:

· Provide oversight and leadership for all legal needs of the company, advising across multiple offices and business functions

· Provide expert and strategic legal advice to the management team, including but not limited to:

· Health and privacy law, including domestic and international regulatory compliance (FDA, EU MDR, etc.)

· Data use, access, and privacy (including GDPR where applicable)

· Intellectual property protection and licensing

· Employment law

· Corporate organization and M&A activity

· Risk management

· Contracts management

· Jurisdictional issues related to geographic expansion

· Draft, review and negotiate a variety of commercial agreements such as intellectual property licenses, customer contracts, and vendor agreements

· Play a key role in all mergers and acquisitions from due diligence through integration, providing legal expertise and guidance across all functional areas and partnering with the business integration team

· Develop and implement internal legal and governance policies

· Collaborate closely with Finance, HR, and other company departments to ensure compliance and best practices

· Manage and collaborate with external counsel as needed

· Proactively address evolving regulatory and governance compliance environment, including changes in laws, regulations, regulatory focus areas and industry best practices

Key experience & qualifications:

· At least 10-15 years of experience in the legal field, with a combination of law firm and in-house experience with increasing levels of leadership

· Proven experience in both the marketing and healthcare industry

· Strong background working in a regulatory environment (e.g., FDA, international regulatory and health authorities, etc.)

· Experience with commercial contracting, corporate, litigation, antitrust, employment, technology, IP, data privacy, and compliance matters

· Experience in M&A and corporate restructuring including due diligence, compliance, and integration best practices

· Experience being involved in business, operational and commercial strategy discussions

· Excellent communication, organizational, planning and management skills, with the ability to handle multiple projects simultaneously

· Having worked closely with C-Suite Leadership across business functions, Finance, and HR

· A practical and common-sense approach to managing difficult situations

· Excellent verbal and written communication skills, interpersonal and conflict resolution skills, analytical and critical thinking skills, and attention to detail

Education:

· JD and Bar Admission is required
