Job Summary:

The Corporate Paralegal will handle multiple corporate legal duties and projects primarily in the EU and across all areas of FieldCore’s global business. The position will work closely with FieldCore’s corporate attorneys on a wide range of corporate law matters and will support FieldCore’s privacy and compliance program in accordance with global laws and regulations as well as company policies, standards and best practices.

Essential Duties and Responsibilities:

  • Conduct timely and accurate due diligence and risk analysis in relation to corporate transactions, mergers and acquisitions 
  • Draft and update corporate entity documentation including corporate agreements, forms, letters and Powers of Attorney
  • Partner with Finance, Tax, Immigration and other internal and external teams to maintain document content, accuracy, and compliance 
  • Provide advice on and copies of documents for notarization and other processes where required in connection with international mobilizations 
  • Draft corporate registrations, licensing and other local requirements with third parties 
  • Maintain a knowledge database in relation to corporate transactions and documentation
  • Identify and draft corporate entity shareholder resolutions 
  • Consult with third parties including legal and accountancy specialists relative to registrations, licensing, transactions, and documentation
  • Maintain corporate meetings minutes and record keeping 
  • Assist with other legal matters and cases as required 
  • Perform other duties as assigned

Qualifications/Desired Characteristics:

  • Paralegal Qualification
  • Legal and/or paralegal experience in a fast-paced corporate environment (in house experience preferred)
  • Ability to manage own caseload and carry out tasks independently with minimal oversight
  • Strong analytical skills
  • Ability to analyze legal documents and clearly and concisely summarize document related issues
  • Ability to work effectively in a fast-paced environment
  • Ability to maintain confidentiality and discretion
  • High level of proficiency in all Microsoft packages with advanced proficiency in MS Word, including document management/ redlining expertise
  • Some travel required
  • English proficiency required
