WORK ENVIRONMENT
This position is fully remote, with hiring location preferences in Spain, offering flexibility to accommodate varying time zones and work hours to effectively collaborate with a global team.
POSITION SUMMARY
The Associate Corporate Counsel, Contracts & Compliance works with other members of the Legal Affairs & Compliance, Governance, and Finance teams will conduct research and due diligence, draft, negotiate, and manage the execution of EO’s commercial contracts and other legal agreements used across the organization as assigned. The Associate Corporate Counsel, Contracts & Compliance will also provide administrative support related to EO contracts and agreements processes and procedures including the management of contract requests, e-signature process, and document archive and record-keeping tasks. The role will also involve legal research and advice on global tax issues, global data privacy law and compliance, corporate and human resources compliance issues, and other legal issues across the organization’s global activities, as assigned.
ESSENTIAL DUTIES AND RESPONSIBILITIES
• Monitor and update EO’s electronic contract management system and provide workflow triage management support.
• Provide administrative support in management of the electronic document signature process.
• Manage record keeping and archive functions related to legal agreements, adhering to EO naming conventions and other standards.
• Support creation of form agreement templates and playbooks in collaboration with
other members of the legal team by helping collect and organize data related to problematic clauses and negotiated outcomes.
• Provide preliminary review, issue spotting, and triage of agreements in support of various business units, including commercial contracts, speaker agreements, professional service agreements, tech licensing agreements, independent contractor agreements, non-disclosure agreements, unique custom agreements, event waivers, virtual event agreements, statements of work) of varying complexity, for multiple business teams.
• Support in compliance audit review of existing agreements to identify issues for resolution.
• Progressively undertake greater responsibility for review, drafting, and negotiation of commercial agreements under the supervision of the legal team after demonstrated competencies.
• Conduct research as assigned by Senior Director of Legal Affairs & Compliance to facilitate legal team’s provision of legal counsel and advice to internal stakeholders, CFO, SVP of Governance, Governance Committee, and other executives on contractual matters, litigation, new product and program risks, employment issues, data privacy, intellectual property, global and local tax issues, specifically around sales, VAT & or GST issues, corporate compliance issues across multiple jurisdictions, locally applicable legal issues, and other matters impacting the organization globally.
• Collaborate with Legal and Governance colleagues on process and system improvements that add value to the organization, including conducting research to gather and organize data related to legal team metrics.
• Participates in data privacy initiatives.
• Undertake special projects and perform other duties as assigned.
QUALIFICATIONS, SKILLS, AND KNOWLEDGE REQUIRED
- Current law student, or LL.B./Juris Doctorate/Bachelor of laws from an accredited law school preferred. Recent graduates will be considered
- Preference for valid license to practice law in good standing or equivalent professional qualification.
- At least 4-5 years’ experience working with commercial contracts from a legal perspective
- Familiarity with wide range of commercial contracts, standard clauses, reasoning for clauses, and negotiation tactics
- Familiarity with legal issues related to tax-exempt organizations, including tax laws such as private benefit, inurement, unrelated business income, and others.
- 2-4 years’ experience working in a nonprofit association preferred.
- Familiarity and experience with global privacy laws, including the GDPR
- Familiarity with sales, VAT, and/or GST tax systems in processes in the European Union and other jurisdictions
- Excellent organizational skills and attention to detail
- Excellent customer service and interpersonal skills, logical solution-oriented thinker
- Excellent oral and written communication skills in English with a focus on excellent customer service approach to working with all levels of stakeholders
- Ability to be flexible, timely, and efficient
