Job Summary

The Tax Manager will apply tax experience to a wide variety of transactions and make significant contributions towards the Company's strategic objectives. This position will be part of a team that works closely with cross functional business partners and other members within the tax department to assist with structuring and understanding various transactions, restructurings, and business initiatives. Tax Manager will ensure we have documented relevant tax technical advice on the US and foreign impacts of such activities in support of our reporting, compliance, and tax audit management analyses. This role will involve tax planning, research, analysis, documentation and tax audit management.

 

Tax Manager will also provide, on an as needed basis, assistance with certain aspects of the company’s global tax provision in accordance with ASC 740, Accounting for Income Tax. This role will also be responsible for assisting with the preparation, review, and filing of the Company’s U.S. federal, state & local income, and franchise tax returns as well as the Company’s global tax compliance.

Tax Planning

§  Assist in the development, feasibility modeling, and implementation of the Company's global tax strategy

§  Support and implement strategic tax planning initiatives

§  Collaborate with and support global cross-functional teams in Business Development, Legal, Finance, Accounting, Treasury, and Tax.

§  Lead Semi-annual step plans to execute intercompany transactions including but not limited to the settlement of interest payments associated with outstanding intercompany loans, restructuring of intercompany debt, legal entity reorganizations and similar transactions

§  Collaborate with the Tax Operations and Transfer Pricing teams on tax compliance and provision matters associated with mergers, acquisitions, divestitures, and internal restructurings

§  Identify and implement tax savings strategies for current and new business activities

§  Assist with federal and state income tax planning to drive strategies for cash tax savings and effective tax rate reduction.

§  Assist in providing technical and computational support and analysis for tax planning on acquisitions, restructurings and other strategic projects (i.e., what-ifs, gain/loss calculations, §382) to determine U.S. tax and business implications. Opportunities for involvement in numerous tax, treasury and business special projects will be available throughout the year.

§  Monitor ongoing US and global tax reform and evaluate tax impacts on our structure

§  Research complex tax issues and advise Tax and various business teams as required.

§  Address tax questions and provide tax support for other functions within the company including but not limited to HR, Payroll, IT and corporate development on an as needed basis

Tax Audit Management

§  Assist with the management of all aspects of U.S. and international tax audits

§  Work collaboratively with the IRS, state and local, and international governing authorities and internal team members to respond to information requests

§  Assist with modeling cash impacts of potential audit adjustments

§  Work with Tax team members to identify audit risk areas to improve future efficiencies

Tax Compliance

§  Assist with the preparation and/or review of U.S. Federal taxable income calculations.

§  Assist with the analysis of facts and circumstances of significant book transactions and determine applicable tax treatment in accordance with the relevant tax authority.

§  Assist with the preparation and/or review of U.S. Federal, state, and local income tax returns. 

§  Provide technical assistance to the Tax Operations team for the preparation of US tax return filings, elections, statements, and disclosures with respect to mergers, acquisitions, divestitures, and internal restructurings.

§  Assist with developing supportable tax return positions in pursuit of income tax minimization or reducing the overall cash tax liability for the company.

Tax Provision

§  Assist with the preparation and/or review of current and deferred federal, state, and foreign tax provisions on a quarterly and annual basis for assigned companies and supporting documentation.

§  Assist with the preparation and/or review of the U.S. consolidated tax provision calculations including IRC 163(j) interest limitations and BEAT tax.

§  Assist in the identification, documentation, and review of uncertain tax position reserves recorded under FIN 48.

§  Assist with the preparation and/or review of U.S. GAAP required tax disclosures for Form 10Q quarterly financial filings.

§  Assist with the prepare and/or review of U.S. GAAP required tax footnote and related disclosures for Form 10K annual financial filing.

Qualifications

Education & Experience

§  BA/BS in Accounting required.

§  5+ years progressive tax experience with Big Four/Large public accounting firm, and/or a large multi-jurisdictional corporation experience.

§  Experience in accounting for income taxes under U.S. GAAP ASC 740 (FAS 109).

§  U.S. Federal and state and local income and franchise tax compliance experience required.

§  Other accounting and auditing experience is a plus.

§  Tax controversy experiences a plus.

§  CPA or MS in taxation preferred.

§  Federal consolidated and multi-state income and franchise tax compliance experience.

§  Knowledge and experience with Microsoft Visio, SAP, OneStream and ONESOURCE is desirable.


Knowledge

§  Detailed knowledge of ASC 740 (formerly FAS 109).

§  Partnership Tax Compliance a plus.

§  Transfer pricing knowledge a plus.
