Legal Counsel

Overview 

We are hiring a critical team member to join Edifecs’ Legal team. You will play a vital role in Edifecs’ growth. The ideal candidate will possess strong in-house experience in healthcare software transactions and supporting the procurement needs of a technology organization.     

  

The successful candidate will be ready to navigate a growth-oriented, rapidly changing, and sometimes ambiguous environment. This person will be comfortable juggling multiple tasks under tight deadlines and must be a strong writer and communicator throughout the organization. A passion for personal accountability and setting high standards is essential for success. 


  

What you will do:
 

  • Review and negotiate Procurement Contracts, BAAs, flow-down terms, and support on special projects that meet Edifecs’ requirements under its policies, including those for risk tolerance, while working collaboratively with the business teams.
  • Strong experience drafting original legal provisions outside of form documents, which includes the ability to identify legal issues independently. 
  • Healthcare privacy experience including the ability to review Business Associate Agreements
  • Collaborate and partner with IT, services, product, security, and other business units at all levels throughout the organization to ensure that customer contracts adequately protect Edifecs’ interests.
  • Support the continuous improvement of standard forms of agreement and legal processes.
  • Be a trusted business partner, responding in a timely and productive manner to requests from internal stakeholders.
  • Counsel internal stakeholders regarding company policies, legal issues, and risk tolerance.
  • Assist with special projects as needed.
     


  

What you will bring:  

  • JD Degree and active admission to practice law in a U.S. jurisdiction where you reside is required.
  • At least 5 years relevant experience at a major law firm and/or in-house, including negotiating technology agreements, particularly for On-Prem, SAAS, PAAS and IAAS solutions.
  • Proven proficiency in leading negotiations for customer facing software, cloud contracts, and procurement contracts (contractor agreements, marketing engagements, IT software vendor contractors)
  • Ability to translate complex legal concepts into timely, clear, concise, and business-focused legal advice for internal stakeholders.
  • Expertise in IT procurement and a proven track record in managing vendor contracts, including experience supporting HR and Marketing procurement requests highly preferred.
  • Familiarity with the HIPAA and changing landscape of US Privacy laws is required. A CIPP designation is preferred, but not required.
  • Commitment to customer service (yes, our internal stakeholders are also our customers) and meeting the needs of internal stakeholders.
  • Self-starter and ability to manage change within a fast-paced organization.
  • Excellent project management, organizational, analytical, and problem-solving skills.
  • Excellent at multitasking and managing competing priorities with little supervision.
  • Demonstrated ability to effectively and proactively provide sound legal advice, exercise good business judgement, and demonstrate business acumen.

  

  

Note: The expected base pay range for this position is $120,000 - $165,000 per year. Base pay offered may vary depending on location, job-related knowledge, education, and experience.
