Shift: 8HRs/Day (8am-5pm w/Hour @ Lunch)

Salary: $110,000.00 - $135,000.00 Annually (Paid Twice Per Month) + Bonus

Employment Terms: Permanent Full-Time

Dumas is the contractor of choice for the most technically challenging underground projects, including mine construction, full-scale mine development, production mining, mine services and engineering. 

Purpose and Scope of Position:

Dumas and STRACON are seeking a practical, business-oriented lawyer to join the Legal Department and support a broad range of legal, governance, compliance, commercial, employment and corporate matters across the Americas. The successful candidate will work closely with executive leadership, operations, finance, human resources, sustainability teams and external counsel in multiple jurisdictions.

This role is ideally suited for a lawyer who is energized by a fast-paced, international environment and who is comfortable providing pragmatic legal advice to business stakeholders operating across diverse jurisdictions and cultures.

Qualifications and Experience:

  • Member in good standing of the Law Society of Ontario, or eligible to become licensed in Ontario.
  • Relevant legal experience gained in private practice, an in-house legal department, or a combination of both.
  • Strong corporate-commercial drafting, negotiation and advisory skills.
  • Fluency in English and Spanish (written and spoken) is strongly preferred.
  • Experience working with, advising on, or supporting matters involving Latin American jurisdictions is strongly preferred.
  • Experience in the mining, construction, engineering, infrastructure, industrial services or natural resources sectors would be an asset.
  • Ability to manage multiple files independently while exercising sound legal and business judgment.

Specific Duties and Responsibilities:

Commercial and Operational Support

  • Draft, review and negotiate commercial agreements, including mining services agreements, supply contracts, consulting agreements, equipment leases, financing arrangements, confidentiality agreements and settlement agreements.
  • Provide legal support to operational and business development teams throughout the lifecycle of projects and commercial relationships.
  • Identify and mitigate contractual, commercial and operational risks.
  • Corporate Governance and Compliance.
  • Support Board and Committee governance activities.
  • Assist with corporate governance documentation, resolutions, minutes and corporate records.
  • Coordinate with external counsel and advisors across multiple jurisdictions.
  • Support compliance, ethics, regulatory and risk management initiatives.
  • Employment, Claims and Disputes.
  • Provide legal support on employment-related matters and investigations.
  • Assist in managing litigation, labour matters and disputes through external counsel.
  • Support the development of practical risk-mitigation strategies and settlement approaches where appropriate.
  • Securities and ESG Matters.
  • Assist with public company governance and continuous disclosure obligations.
  • Support sustainability, ESG and stakeholder-related initiatives.
  • Review public disclosures, reports and corporate communications as required.

In evaluating candidates, greater weight will be given to Spanish language proficiency, Latin American experience, commercial judgment, adaptability and cultural fit than to the number of years in practice alone. Candidates with meaningful exposure to Latin American jurisdictions may be preferred over more senior candidates whose experience is limited to a purely domestic Canadian practice, as the ability to operate effectively in the Company's principal jurisdictions is critical to success in the role.
