Corporate – Workspace is primarily in the Administrative Building
In Field – Workspace is primarily Off Site at various locations around the island
Plant Area- Workspace is primarily in the Power Plant Area
Hybrid – Workspace is a combination of in the Administrative Building and in the Field or in the Plant Area
Satellite Location- Workspace is offsite at a CUC Satellite location
Responsibilities
The successful candidate will be responsible for:
- Management of share purchase program (CSPP, ESPP, & DRIP) processes including the oversight of subscription process, compliance, transfer agent activity and internal and external reporting (SEDI, TSX, etc).
- Tracking investor inquiries, monitoring response times, maintaining and filing accurate shareholder documentation.
- Initial legal compliance review, tracking, and filing of contracts, related key company documents and maintenance of department SharePoint workflows and document management system.
- Support with the preparation of and distribution of all Board of Directors meeting materials in a timely manner and the maintenance of essential corporate records including company minute books and security reporting records. Preparation for and taking minutes of meetings as required.
- Co-ordinate the preparation of management reports and securities reporting documentation including the AIF and Management Information Circular for the annual general meeting of shareholders.
- Supervision, coaching, developing, evaluating and effectively delegating to staff.
- Maintain an awareness of corporate governance issues and pro-actively consider further development of best practice, improvement of company policies and training as required.
- Maintaining records of insider report filing activities for officers and directors who request support for this process.
Requirements
Applicants should possess:
- Bachelor’s Degree in Law or related degree.
- Demonstrated career interest in legal, governance or corporate administration.
- Minimum of five to seven (5-7) years’ experience in legal, governance or corporate administration.
- Qualified with ACIS or GPC.D designation or holding the pre-requisites for qualification is an asset.
- Understanding of listed company financial and disclosure instruments and capital market processes is an asset.
- Registrar & Transfer Agent or investor related Customer Service experience is preferred.
- Experience with SharePoint, paperless Board and Shareholder Registry portals is an asset.
Key Competencies:
- Ability to understand complex regulatory parameters and emerging governance concepts.
- Ability to monitor budget performance and costs in external service provider environments such as transfer agent and legal services.
- Possess excellent organizational & exceptional written and verbal communication skills.
