The General Counsel role is an autonomous and diverse role that contributes significant value to our growing, fast paced and dynamic Company. As a generalist in your field, you will be responsible for a broad scope of responsibilities with a significant emphasis of advising on all legal aspects encountered by CivicPlus on a day-to-day basis, including, without limitation, on compliance, GDPR and data privacy, international tax issues, product liability, strategic partnership engagements, risk exposure, employment issues, and M&A. You will be the ‘go to’ advisor support all stakeholders with legal endeavors in connection with Company goals and objectives.

What You’ll Do

General Responsibilities 

  • Maintain knowledge of Company’s operations, legal positions, legal documents, and objectives.
  • Take part of Company strategic discussions in order to understand the intricacies, goals, strategy and nuances of the Company and engineer a legal approach that compliments the Company’s dynamic structure and long-term goals. 
  • Anticipates and identifies legal issues and counsels officers of the company and other upper management in order to develop legal strategies and solutions.
  • Acting as a partner and guardian, manage legal considerations to enable all Company departments to focus on their primary responsibilities. 
  • Support Company M&A objectives by drafting transactional documents, managing outside counsel, and performing legal due diligence, as necessary.
  • Provide leadership, oversight, administration, and management of the Company’s Enterprise Risk Management Program.
  • Continuously assess and identify legal process creation and enhancement, through gap analysis between existing policies and processes and business activities.
  • Advise and lead cross-functional teams on the development, launch, and growth on company legal initiatives, compliance projects necessary for company risk exposure mitigation.
  • Manage and maintain the Company’s commercial insurance policies, ensuring appropriate coverage, renewals, and claims.
  • Provide or facilitate training to all departments on various legal issues through seminars and meetings. 
  • Other duties as assigned by leadership. 

Contracts 

  • Prepare, draft, review, and negotiate all complex strategic contracts Company is a party to, such as letters of agreement/intent, reseller agreements, intellectual property licensing agreements, strategic partnership agreements, etc. in partnership with key stakeholders.  
  • Provide oversight and approval of Company commercial contract templates.
  • Set best practices and develop playbook for the negotiation and position of vendor and service provider agreements.
  • Working with key stakeholders and/or outside counsel, provide drafts, guidance and recommendations as needed on acquisition agreements.
  • Prepare, revise, and monitor, as needed, all intercompany agreements. 

Intellectual Property 

  • Assess, maintain, police and protect copyrights, trademarks, and trade secrets.
  • Maintain registry and complete new filings, updates, and renewals of all proprietary trademarks. 
  • Oversee and review all licensing provisions to ensure conservative licensing structures, protecting all proprietary IP. 

Compliance 

  • Establish, manage and maintain compliance with state and federal business regulations by maintaining necessary business filings, secretary of state correspondence (annual filings, Company changes) and corporate governance documents (minutes, signing authorizations and other resolutions). 
  • Develop and communicate best practices, necessary policies, and processes to appropriate department stakeholders for contract compliance, and legal compliance (i.e.: data security, trade secret protection). 
  • Monitor, track and understand changing legal landscape with respect to evolving applicable laws (corporate, employment, technology, privacy).
  • Working with cross department stakeholders and the data privacy officer, implement and maintain measures and a privacy governance framework to manage data use in compliance with the GDPR.
  • Working closely with the internal accounting and tax team and external tax advisers, support and maintain a compliance intercompany transaction program, including, but not limited to, the drafting of intercompany agreements aligned with the Company's transfer pricing policy. 

Outside Counsel 

  • Establish, oversee, and maintain outside counsel engagements for the various Company needs, including international counsel for international subsidiaries.
  • Serve as point-of-contact to outside legal counsel and manage relationships on a proactive basis. 
  • Review and manage outside counsel tasks and billing. 

Department Management 

  • In scale to Company growth, build, develop, organize and oversee the legal department and maintain legal operations in an efficient and cost-effective manner.
  • Supervises legal work of legal department.
  • Provide mentorship, training, and best practices for the entire legal team.
  • Maintains professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in GovTech, software as a service, and in other related areas.

Preferred Qualifications: 

  • Ability to review, understand, and interpret complex contractual terms  
  • Strong negotiation skills, including within the Company and externally with vendors or customers 
  • Understanding of government business practices, including procurement, limitations and regulations 
  • M&A experience
  • Strong commitment to detail, successful prioritization skills, and industrious work ethic 
  • Strong organization skills, including management of projects and setting workload priorities 
  • Excellent interpersonal, analytical, drafting and communication skills 
  • In-depth understanding of technology, SAAS, and open source licensing and platforms.  
  • Ability to collaborate with internal and external stakeholders to form productive partnerships 
  • Adaptable, fast-thinking, able to “think on your feet” and exercise prudent decision making efficiently 

Education and Experience 

  • Juris Doctorate degree from an accredited law school and bar membership with good standing in at least one state
  • Minimum 5+ years transactional legal experience, in-house preferred, technology industry preferred

Compensation and Benefits

  • Salary Grade : $155,100 -$241,900
    • The actual salary offer will carefully consider a wide range of factors, including your skills, qualifications, experience and is based on a 40-hour work week.
