About the Team & Business Line:

Fund Administration is Citco’s core business, and our alternative asset and accounting service is one of the industry’s most respected. Our continuous investment in learning and technology solutions means our people are equipped to deliver a seamless client experience.

As a core member of our Local Legal team, you will be working with some of the industry’s most accomplished professionals to deliver award-winning services for complex fund structures that our clients can depend upon.

Your Role:

  • You will undertake a comprehensive review of all fund documentation for investment manager client funds serviced by Citco and/or its affiliates, including reviewing offering documents, subscription documents, constitutive documents and material agreements, to ensure that disclosures relating to Citco or its affiliates are true and accurate and that all disclosures which affect Citco or its affiliates in the provision of services to such Funds are accurate and in accordance with Citco’s legal, compliance and risk standards
  • You will be responsible for the drafting negotiation of agreements between Citco and investment managers in connection with the provision of administration services to Funds by Citco
  • You will be liaising and negotiating with external legal counsel to Funds and with investment manager in house counsel in connection with client service requirements including where appropriate service level agreements
  • You will advise Citco, its affiliates and, where appropriate, its investment manager clients on cross border regulations affecting the provision of administration services to Funds and/or their SPVs
  • You will act as a point of contact for in-house legal queries from Citco staff, and provide internal legal advice to Citco and its staff on all matters including the impact of legislative and regulatory changes which affect the business of Citco or its affiliates
  • You will be reviewing and negotiating legal contracts and other agreements to be entered into between Citco or its affiliates with external counterparties in connection with its business
  • You will engage and manage the use of external counsel on various matters where appropriate and, in conjunction with the Legal Director and Compliance
  • You will assist in regulatory and internal audit inspections and assist in developing internal policies and procedures arising out of regulatory/audit inspections
  • You will assist in the provision of training to Citco staff and the preparation of internal legal bulletins, policies/procedures relating to existing laws/regulations and any changes thereto which affect the administration of Funds and/or their SPVs
  • You will prepare reports on legal matters for internal senior management as appropriate
  • As and when required, you will be providing the above services and support for affiliate offices of Citco, and liaise with lawyers in other Citco offices.


About You:

  • You have a minimum of three to five years’ post qualification experience with a leading Irish or international law firm or a combination of in-house and law firm experience, having specialized in investment fund formation (Hedge, PE and/or RE)
  • You have an understanding of common investment fund structures including master/feeders, unit trusts, limited partnerships and segregated portfolio companies. Knowledge of common Hedge and PE/RE jurisdictional structures, including Ireland, the Cayman Islands, Luxembourg and the Channel Islands is preferable
  • An understanding of extra territorial laws/regulations which are relevant to the administration of investment funds generally is preferable (e.g. Anti-Money laundering rules, ERISA, AIFMD and GDPR)
  • You must be able to deal with constant change and a fast evolving market
  • You must influence a broad range of stakeholders
  • You have strong leadership skills and supervisory experience of other professionals
  • You have project management skills with attention to detail and proven ability to multi-task
  • You have excellent written and verbal communication skills
  • You can demonstrate business and commercial acumen
