Citco is recruiting for an experienced company secretary, with funds experience, to provide maternity leave cover for a period of up to twelve months. This Assistant Vice President role will report to the Head of Company Secretarial in Ireland. As a core member of the corporate secretarial team, you will be working with some of the industry’s most accomplished professionals to deliver award-winning services for complex fund structures that our clients can depend on.

Your Role:

  • You will act as the primary point of contact for the provision of company secretarial services for a portfolio of Cayman, Luxembourg and Irish domiciled investment fund vehicles;
  • You will organise, including the preparation of board packs, and attend fund board meetings;
  • You will have the ability to actively listen and prepare detailed board minutes and action points to a high standard in accordance with agreed timelines;
  • You will organise and attend shareholder meetings and draft minutes thereafter in a timely manner;
  • You will arrange for document execution, notarisations, apostilling and consularisation;
  • You will be able to demonstrate a strong working knowledge of the Companies Act 2014, the Irish Collective Asset-management Vehicles Act 2015, the Corporate Governance Code for Collective Investment Schemes and Management Companies and other relevant regulations and legislation as may be applicable to Irish funds;
  • You will have experience in liaising with the Central Bank of Ireland and Companies Registration Office in Ireland through their respective online reporting systems;
  • You will liaise with registered office providers in the Cayman Islands and Luxembourg;
  • You will maintain statutory registers and common seals;
  • You will work with the Head of Secretarial on corporate governance / company secretarial matters and to assist in the managing, mitigating and monitoring of corporate governance risk;
  • You will perform other company secretarial functions from time to time as may be required.


About You:

  • You have a minimum of 4 years’ experience providing company secretarial services in the regulated funds industry; Being CGI or part-CGI qualified is an advantage but not a pre-requisite.
  • You are able to manage a varied portfolio to a high service standard and contribute to weekly department meetings.
  • You are fluent in English and have strong communication skills (both written and verbal) given that this position involves representing Citco as a primary contact with clients.
  • You have strong minute-taking experience in a funds environment.
  • You show excellent attention to detail and organisational skills, with the ability to multi-task.
  • You are enthusiastic, motivated and pro-active and able to act on own initiative and as part of a team.
  • You pride yourself in being professional, dependable and trustworthy with a co-operative attitude.
  • You are able to work under pressure and to deadlines.
