Summary:
The Associate Counsel, M&A will provide legal guidance to GPC stakeholders in the areas of mergers and acquisitions. The Associate Counsel, M&A will join a growing, collegial legal team at the Atlanta, GA headquarters of Genuine Parts Company, a Fortune 200 publicly listed company (NYSE: GPC). The candidate will report to one of GPC’s Senior Counsel. The successful candidate will be self-motivated, driven, team-oriented and comfortable working in a dynamic public company environment.
Responsibilities:
- Counsel and provide legal guidance on mergers & acquisitions
- Draft, negotiate, and control workflow in connection with multiple simultaneous acquisitions
- Oversee and participate in legal and cross-functional due diligence
- Draft and negotiate term sheets and definitive transaction documentation
- Support post-closing transactions and post-closing integration
- Advise on transaction structures
- Advise General Counsel and senior management on various matters such as legal rights, and new and existing laws
- Maintain knowledge of organization’s operations and legal documents
- Liaise with outside counsel regarding their assignments
- Assist on corp. governance for domestic and international entities
Preferred Qualifications & Skills:
- Juris Doctorate degree and a member of at least one state bar association (preferably Georgia)
- Significant experience in Mergers and Acquisitions
- Willingness to take on non-M&A matters (specifically, commercial leases, sales and supply contracts, NDA’s, and IT agreements)
- Minimum of 5 years’ practice with an established law firm or corporate legal department
- Proven ability to manage internal and external relationships
- Exceptional communicator
- Self-starter
- Able to work collaboratively
- Team player
- Strong organizational skills; must be able to manage and prioritize multiple business objectives and projects with the proper sense of urgency
