JOB SUMMARY
The Compliance and Governance Manager oversees Risk Management, Conflicts of Interest, Public Records Act compliance, and Contract Management for the organization. This role also serves as administrative board liaison with primary responsibility for Board meetings/agendas, policies, onboarding, and general communication with Board members. The Compliance and Governance Manager executes their responsibilities with a mission-driven way, with our scholars and schools always at the center.

Board of Directors
  • Manage the meeting calendar for the Board and its committees
  • Solicit board meeting topics from other teammates and build meeting and committee agendas accordingly. 
  • Finalizeand post board and committee meeting agendas in compliance with Brown Act, SB 128, and other legal requirements
  • Host and facilitate all Board and Committee meetings by planning logistics (audio/video, seating, food and beverage, travel, accommodations, etc.), ensuring agendas are posted as required by law, taking notes and drafting minutes, tracking votes, and facilitating the meetings.
  • Administer BoardDocs board management software, including permissions and troubleshooting
  • Coordinate yearly Board member Brown Act and Governance training and track/ensure compliance
  • Coordinate New Board member orientation, including relevant materials
  • Serve as interface for board member requests
Risk Management
  • Serve as primary liaison addressing operational risk management issues and policies.
  • Evaluate Insurance broker services against the needs of the organization, and manage the relationship with broker and providers accordingly
  • Conduct RFP as needed to ensure organization needs are being met
  • Manage non-employee risk management, including serving as liaison for general liability requests, field trip forms and approvals, volunteers, vehicles/drivers and ensure schools uphold safety and risk management protocols
  • In collaboration with insurance brokers and other teammates, identify and proactively address risk patterns through training, policy updates, data reporting, etc.

 

Compliance
  • Serve as Aspire’s Form 700 Filing Officer. Ensure all designated positions comply with the Form 700 filing requirements by the annual deadline in accordance with Aspire’s Conflict of Interests policy. Support Regional Ops teams in complying with authorizers’ requests and timelines.
  • Ensure compliance with Aspire’s bylaws and similar governing documents.
  • Compile and track all board policies for easy reference. Create and manage against a schedule/project plan for existing policies to be reviewed and updated on a regular basis. Work with policy owners to secure Board approval for updates, as needed. Maintain templates and indexing.
  • Ensure Legal requests are met in a timely manner.
  • Oversee Aspire’s compliance with Conflict of Interests laws and policies, including working toward resolution of actual and potential conflicts as they arise.
  • Ensure Aspire’s compliance with the Public Records Act, including tracking of open requests and working with relevant stakeholders to fulfill the requests as required by law.

Contract Management
  • Serve as the System Administrator for Aspire’s CLM (currently Docusign) and oversee workflow to ensure contracts are reviewed and approved in a timely fashion. Manage permissions, licenses, and access to the system. Troubleshoot as needed. 
  • Provide training and support to collaborators and stakeholders
  • Design and implement tools and systems to improve Aspire’s contract review and approval process, informed by stakeholder feedback

  • Comfortable with utilization of technology in a remote environment
  • Perform other related duties as required and assigned. 

 

QUALIFICATIONS

 

  1.   Competencies:
  • Ability to apply a scholar and mission-centered lens to risk management and compliance
  • Charter school compliance and reporting requirements (and/or willingness to learn)
  • Ability to gather and consolidate data from multiple systems (including accounting systems and data warehouse) in order to produce accurate and timely reports
  • Excellent project management and strategic planning skills; ability to gather data from disparate sources and turn them into proactive strategies/tools to address systemic gaps
  • Advanced Microsoft Excel and PowerPoint skills and ability to gather and consolidate Attention to detail is a must
  • Excellent organizational, time management and follow-up skills; demonstrated ability to successfully handle multiple projects concurrently and meet deadlines under pressure 
  • Ability to work independently with a high degree of accuracy 
  • Willingness to take on administrative tasks as needed

  1. Minimum educational level:
  • Bachelor’s degree

  1. Experience preferred:
  • 3 years experience in compliance, governance, reporting, or in a related field
  • Proficiency with Microsoft Office Suite; fluency in Microsoft Excel, databases, cloud-based applications
  • Experience in public education and/or not for profit operations or management

  1. Physical requirements: 
  • Stand, walk or bend over, kneel, crouch, reach overhead, grasp, push, and pull. Move, lift and/or carry up to 30 pounds to shoulder height
  • Repetitive use of hands (i.e. fine manipulation, simple grasping, and power grasping)
