About the Role:  
  
We are currently seeking a highly motivated Corporate Paralegal to report to our Associate General Counsel. This role is critical to supporting our legal and corporate governance functions, ensuring compliance with regulatory requirements, and providing comprehensive legal support to various departments within the organization. 
  
What You'll Do:  
  
  • M&A Support: 
    • Assist in the preparation, review, and management of documents related to mergers, acquisitions, and other corporate transactions. 
    • Conduct due diligence and manage data rooms. 
    • Coordinate closing logistics and post-closing integration tasks. 
  • Corporate Support: 
    • Assist in the formation of entity. 
    • Support the preparation of board and committee meeting materials, including drafting agendas, resolutions, and minutes. 
    • Maintain corporate records and minute books for the company and its subsidiaries. 
    • Ensure compliance with corporate governance requirements and best practices. 
    • Provide support for general corporate housekeeping and entity management. 
  • SEC Support: 
    • Assist in the preparation and filing of annual and quarterly reports including Forms 10-K, 10-Q, 8-K, and proxy statements. 
    • Coordinate with internal and external stakeholders to ensure timely and accurate disclosures. 
  • General Support: 
    • Conduct legal research and provide support on various legal issues as needed. 
    • Collaborate with the legal and other business teams to execute job responsibilities. 
Qualifications:  
  
  • Bachelor’s degree or equivalent experience required; paralegal certification preferred. 
  • Minimum of 5 years of experience as a corporate paralegal in-house or at a law firm. 
  • Extensive experience with M&A transactions, corporate governance and SEC filings. 
  • Experience working with or at public companies. 
  • Direct experience in the healthcare industry is a plus. 
  • Strong understanding of corporate governance, securities laws, and compliance matters. 
  • Excellent organizational skills and attention to detail. 
  • Strong written and verbal communication skills. 
  • Ability to manage multiple tasks and prioritize effectively in a fast-paced environment. 
  • Proficiency in Microsoft Office Suite and legal research tools. 
  
You're great for this role if:  
  
  • Experience working on multiple complex projects end-to-end 
  • Previous work in consulting, investment banking, or equivalent skillset 
  • Familiarity with programming a plus

Environmental Job Requirements and Working Conditions:  
  
  • Our organization follows a hybrid work structure where the expectation is to work both in office and at home on a weekly basis. The office is located at 1668 S Garfield Avenue, Alhambra, CA 91801 
  • The target pay range for this role is: $80,000 - $90,000. The salary range represents our national target range for this role.
